制中心性病艾滋病预防控制中心提供的每批次具体数量，将每包药品总数量按照最多4个批次进行供货，如有特殊要求应提前告知卖方及外贸代理。ThesellershouldpromisecachbatchaccordingtobuyerorNationalCenterforAIDS/STDControlandPrevention,ChinaCDCprovidesspecificquantity,Thetotalquantityofeachpackageshouldbesuppliedaccordingtothequantityinupto4个batches.Iftherearespecialrequirements,Thesellerandtheforeigntradeagentshouldbeinformedinadvance5.2装运口岸：欧洲口岸PortofDelivery：Europeanport5.3到货口岸：北京PortofUnloading:Beijing5.4中国项目现场：买方指定的各项目省及重点地市级仓库（详细交货地点以买方正式书面通知为准）DesignatedsitesinPRC:ThebuyerdesignatedsitesinPRC(Includingsomekeycitiesthedetailedplaceofdeliveryshallbesubjecttotheformalwrittennoticeofthebuyer.)5.5卖方应在买方指定的装运日期（10）天前，将合同号、货物名称、数量、毛重、净重、包装件数、形式发票、总体积以及货物在装运机场备妥的时间以邮件或传真方式通知外贸代理。TheSellershallnin（10）daysbeforethedateofdeliveryspecifiedbythebuyer,adviseForeignTradeAgentbyE-mailorfaxofthecontractNo.，nameofGoods,quantitygrossweight,netweight,numberofpackage,proformainvoice,measurementanddateofreadinessattheairportofdelivery.5.6如果卖方未能按照买方或中国疾病预防控制中心性病艾滋病预防控制中心指定的交货日期交货，卖方应按每周为迟交货物金额5%的比率支付迟交违约金。迟交不足一周的按一周计算。违约金的总金额不超过合同总价的百分之50%。违约金的支付不免除卖方实际交付迟交货物的义务。非卖方或制造厂商原因造成导致的延误交货，卖方不承担责任。IncasetheSellerfailstomakedeliveryinaccordancewiththecontract,theSellershallpaytheliquidateddamageattherateof5%ofthevalueofthedelayedgoodsperweek.Odddaysoflessthanone（1）weckshallbecountedasone（I）weckforcalculatingtheliquidateddamage.Thetotalamountoftheliquidateddamagesshallnotexceed50%ofthecontractprice.ThepaymentofliquidateddamagesshallnotreleasetheSellerfromitsobligationtodeliverthedelayedgoods.Non-sellerormanufacturercausedduetodelayindelivery,tesellershallnotberesponsible如果卖方在买方或中国疾病预防控制中心性病艾滋病预防控制中心指定的交货日期后30天内仍未能交付全部或部分合同货物，在不妨碍买方其他救济手段的情况下，买方可以向卖方发出书面违约通知从而全部或部分地终止合同。IncasetheSellerfailstodeliveranyorallofthegoodswithin30daysfromthedateofdeliveryasspecifiedbythebuyer,theBuyermay，withoutprejudicetoanyotherremedy，bywrittennoticeofdefaultsenttotheSeller,terminatethecontractinwholeorinpart5.7外贸代理应投保金额为装运的合同货物的CIF发票价值110%的、以买方为受益人的在中国境内的一切险。外贸代理应以合同货币投保，保险单上应注明“可以在中国理赔”并且不得含有抵免条款。自合同货物被外贸代理接收后，因任何意外事件丢失和/或损坏，外贸代理应协助买方向保险公司请求赔偿或代表买方向保险公司提出索赔并应根据买方要求尽快以原合同价格补供丢失和/或损坏的货物。如果货物在外贸代理收货前发生任何意外损失，卖方将依照其与其自身保险公司的相关合同约定处理，同时，卖方、买方、外贸代理应本着友好协商的原则商定补货方案，卖方应尽合理商业努力在最短时间内向买方通过外贸代理补足损失的数量。ForeignTradeAgentshalleffectinsuranceagainstallriskscovering110%ofCIFinvoicevalueofthedeliveredGoodswiththeBuyerasthebeneficiaryinChina.TheinsurancehastobecoveredinthecontractcurrencyshowingclaimspayableinChinawithnodeductibleclause.IncasetheGoodsarelostand/ordamagedduetoanyaccidentafterGoodsarereceivedbyBuyer'sAgent，ForeignTradeAgentshallassisttheBuyertoapplytotheinsurancecompanyforcompensationorclaimagainsttheinsurancecompanyonbehalfoftheBuyerandeffect,uponForeignTraderequest,supplementarysupplyofthelostand/ordamagedGoodsatoriginalcontractprice.IfanyaccidentsoccurredbeforeForeignTradeAgentreceiveGoods,theSellerwillsolveandsettledownthecasesaccordingtoitsinsurancepoliciessignedwithitsowninsurancecompanyMeanwhile,theSeller,BuyerandBuyer'sAgentshallagreetheplantofulfillthesupply.TheSellershallexercisecommerciallyreasonableefforttomakeupthelosingquantitytotheBuyerviaBuyersAgentinshortesttiming第6条包装和装运标志6.1卖方应对货物进行适当包装并采取防潮、防雨、防锈、防腐蚀、防震动及防止其它损坏的必要措施。包装应适合于长途运输。卖方应对不充分或不适当包装造成的货物损坏或灭失承担责任。ThegoodsshallbeproperlypackedbytheSellerandnecessarymeasuresshallbetakentoprotectthecontractgoodsfrommoisture,rain，rust,corrosion,shockanddamages.Thepackageshallbesuitableforlong-distancetransportation.TheSellershallbeliableforanydamageand/orlossofthegoodsattributabletoinadequateorimproperpackage6.2生产企业将在每个包装箱的一面加贴中文标签，标签的内容包括商品名、通用名、贮藏条件、剂型、包装、进口药品注册证号、规格、生产日期、批号、有效期至、生产企业名称和地址，其它适用于国际运输的信息或标识在必要时亦会包含。Themanufacturershallapplythelabelononesideoftheshippingouter.Thelabelshallbeartheproducttradename,genericname,storagecondition,dosageform,packsize,importdruglicensenumber，strength,manufacturingdate,batchnumber,expiryddate,manufacturernameandaddress.Otherinformationormarkappropriateininternationaltransportationmaybeincludedwhennecessary第7条装运通知7.1在合同货物装运完毕后，卖方应立即将合同号、合同货物名称、装运数量、包装件数、总毛重、净重、形式发票、总体积、航班号、空运单号、启航时间和预计到达卸货机场的时间以传真方式通知外贸代理。如果有易燃货物和危险货物，亦应注明有关细节。TheSeller,immediatelyuponthecompletionoftheloadingoftheGoods,shallnotifyForeignTradeAgentbyfaxofthecontractNo.，nameofGoods,quantitynumberofpackage,grossweight，netweight,proformainvoice,measurement,flightNo.wybillNo.departuredateandtheestimateddateofarrivalattheairportofunloading.Thedetailsofinflammableand/ordangerousGoods,ifany,shallalsobeindicated.第8条检验8.1卖方或制造商应对合同货物进行检验并出具出厂质量检验证书。卖方将上述证书和记录提交给外贸代理。有关费用由卖方负担。合同货物应符合中国有关药品的法律、法规的规定。TheSellerorthemanufacturershallinspecttheGoodsandissuetheCertificateofAnalysis.TheSellershallsubmitthesaidcertificatesandrecordstoForeignTradeAgent.AllexpensesinvolvedshallbefortheSeller'saccount.Thequalityofthegoodsunderthiscontractshouldconformtothestandardsoftheaccordingchinadruglawsandregulations8.2外贸代理应按照适用的法规规定将货物交付至买方指定仓库（除非双方对交货地点事先另行达成书面协议）。自货物被外贸代理接收后，货物的所有权和货物丢失和损坏的风险将转移给买方，并构成了本合同项下的实际交付。TheGoodsshallbedeliveredbyBuyer'sAgenttoForeignTradedesignatedwarehouseinaccordance
