1期)水工工程项目（项目）石料（材料）的相关试验检测技术服务（具体检测服务见附件1），并支付相应的技术服务报酬。双方经过平等协商，在真实、充分地表达各自意愿的基础上，达成如下协议，并由双方共同恪守。1.ContentandRequirementsofTechnicalServices技术服务内容及要求1.1ServiceLocation服务地点:Manila,Philippines.1.2ServiceDuration服务期限:24Months1.3QualificationRequirementsofPartyB乙方资质要求：MeettheRequirementsforOwner'sApproval.1.4TestingContents检测内容(a)Qualitytextingoftheengineeringmaterials(StoneMaterial).工程材料（石材）质量检测1.5SubmissionMethodofServiceResults服务结果提交方式：(a)ProvidewrittentestingreportsintheformatrequestedbyPartyA.按甲方要求的格式出具书面检测报告。(b)Sixcopiesofelectronicfilesoftestingreportsandsupportingdocuments.检测报告及支持性文件电子档案一式六份。2.RightandObligationofPartyA甲方权利和义务2.1Providetechnicalmaterialsapprovedbytheowner,aswellascontractdrawings,designspecifications,andothernecessarydocumentsfortesting.提供业主认可的技术资料以及用于试验检测的合同图纸、设计指标等。2.2Provideon-sitetestingenvironmentandnecessarymanpowerassistance.提供现场试验检测工作环境和必要的人工协助。2.3HavetherighttosupervisethefinancialusageofPartyBinthisproject.IfPartyBdelayspaymentstothird-partymaterialsuppliers,equipmentsuppliers,rent,orworkersalariesrelatedtothistestingserviceagreement.,PartyAhastherighttodeducttheamountfromanypaymentsduetoPartyBandpayontheirbehalf.有权监督乙方在本工程项目的资金使用情况，若发现乙方拖欠本试验检测服务协议有关的第三方材料款、设备款或租金，以及工人工资等，有权从应付乙方的任何款项中扣除代为支付。2.4Handlesettlementandpaymentofservicefeesasperthecontract.按合同约定办理结算、支付服务费用。2.5IfPartyAviolatestheprovisionofArticle4ofthiscontractbyfailingtopaythetestingfeestoPartyBontime,PartyAshallpayPartyBapenaltyof3%oftheunpaidtestingfeesforeachdayofdelay.甲方违反本合同第四条约定未按时向乙方支付检测费，每延误一日，甲方应向乙方支付该次未付检测费3%的违约金。2.6Forworkrelatedtothescopeofservices,PartyAmayissueinstructionstoPartyBduringbusinessdays,andPartyBshallcomply(andcooperatewithPartyA'sworkonholidays).IfPartyB'sworkdoesnotmeettherequirements,PartyAmayrequestrectificationfromPartyB.IfPartyBfailstorectifymorethanthreetimes,PartyAmayunilaterallyterminatethecontract.就服务范围内的有关工作，甲方工作日内可以向乙方发出指令，乙方应执行（节假日应配合甲方工作）；若乙方完成工作不符合要求，甲方可要求乙方进行整改；超过三次未整改甲方可单方面终止合同。2.7PartyAisresponsibleforsamplingandtransportingthesamplestoPartyB'slaboratory.甲方负责取样并运送到乙方试验室。3.RightandObligationofPartyB乙方权利和义务3.1Possessthetestingqualificationsasstipulatedinthecontractandensurethattheheldtestingqualificationsmeettheadministrativerequirementsoftherelevantauthorities.具备合同约定的检测资质，保证持有的检测资质满足有关当局的行政管理要求。3.2Specifytherequirementsforon-sitetestingconditions,closelycooperateandnegotiatewiththetechnicalpersonnelattheconstructionsiteofPartyA.提出具体的现场检测条件需求，与甲方施工现场技术人员密切配合和协商。3.3Providetestinginstrumentsandequipment,responsiblefortheentryandexitofinstrumentsandequipment,ensuringthatthemeasuringinstrumentsmeetthetestingrequirements.提供检测仪器设备，负责仪器设备进退场，保证检测计量器具能满足检测要求。3.4Ensurethatthetestingpersonnelhavethequalificationsfortestingandcompleteon-siteworkasagreedinthecontract.保证检测人员具备检测资格，按合同约定完成现场工作。3.5Ensuretheimpartiality,accuracy,andtimelinessofthetesting,andensurethatthetestingworkmeetsthenormativerequirementsstipulatedinthecontract.保证检测的公正性、准确性、及时性，保证检测工作符合合同约定的规范要求。3.6CooperatewithPartyAinhandlingaffairsrelatedtothetestingunit.配合甲方办理属于检测单位相关的事务。3.7IfPartyBviolatesthetermsofthiscontractandfailstosubmitthetechnicalserviceresultsorcompletethecorrespondingworkwithintheagreedtimeorwithinthetimespecifiedinthetestandinspectionschedule,PartyBshallpayapenaltyof3%oftheservicefeeforeachdayofdelay.若乙方违反本合同约定，未在双方约定的时间内或者试验检测周期表约定点的时间内提交技术服务成果或技术服务进度完成相应工作的，应当每天支付相应服务费3%的违约金。3.8PartyBshallensurethattheequipmentandpersonnelenteringthesitecomplywithregulationsandholdthenecessarycertificates.Theequipmentmustbeinspectedandinnormalcondition,andPartyBshallsubmitreportstoPartyAandacceptinspectionsfromPartyA.乙方应保证进场设备和作业人员合规持证，设备经过检验且状态正常，向甲方提交报备并接受甲方检查。3.9PartyBshallcomplywiththeconstructionsite'ssafetyproductionmanagementsystemandlabordiscipline,takenecessarysafetyprecautions,andeliminatepotentialsafetyhazards.PartyBshallprovidethenecessarystandardsafetyprotectionequipmentforon-siteworkers,conductsafetytrainingforworkersinvolvedintesting,sampling,andotherrelatedtasks,providesamplingtoolsthatmeetsafetystandards,andsupervisetheircorrectusage.乙方应遵守施工现场安全生产管理制度和劳动纪律，采取必要的安全防护措施，消除事故隐患。乙方应为进场作业人员提供所需的合乎标准的安全防护装备，对作业人员已经进行检测、取样等相关作业的安全培训，提供符合安全作业标准的取样工具，监督其正确使用。3.10PartyBshallsuperviseon-sitepersonneltoensurelaborprotectionandoccupationalhealth,complywithPartyA'ssafetyproductionmanagement,andbearfullresponsibilityforanyproductionsafetyaccidentscausedbydisobediencetomanagement.PartyAhastherighttoclaimforalldirectandindirectlossesresultingfromaccidentsfromPartyB.乙方应督促进场人员做好劳动防护和职业健康工作，服从甲方的安全生产管理，不服从管理导致生产安全事故的，由乙方承担全部责任，甲方有权就事故造成的一切直接及间接损失，向乙方索赔。3.11PartyA'stestingscheduleshallcomplywiththestandardcyclesrequiredforvarioustests.IfPartyAneedstoexpeditethetestingprocess,bothpartiesmustnegotiatethecompletiontimeforthetestingofthecurrentmaterials.甲方的检测时间应符合各种检测试验标准周期要求，若甲方需要加快检测进度，需双方协商本次材料的试验检测完成时间。3.12PartyBisonlyresponsibleforthetestresultsofthesamplessubmittedforthisroundoftesting.乙方只对本次送样的试验样品的检测结果负责。4.ServiceFees4.1Thetechnicalservicefeeforthiscontractis(AmountinWords:),including12%VATand2%WithholdingTax.Thepre-taxpriceis.ThedetailedbreakdownofunitpricespleaserefertoAnnex1.本合同技术服务费用比索（大写：），包含12%增值税和2%预扣税，不含税价比索。详细单价构成见附件一。4.2TheservicefeeincludesallforeseeableandunforeseeableexpensesrequiredforPartyBtocompleteallservices,includingbutnotlimitedtolabor,materials,equipment,taxes,profits,insurance,risks,aswellasanytemporaryfacilityfees,managementfees,equipmentdeploymentfees,andotherexpenses.服务费用包含了乙方完成全部服务所需的人工、材料、设备、税金、利润、保险、风险、还包括但不限于临时设施费、管理费、设备调遣费等一切可预见和不可预见费用。4.3Theunitpriceexclusiveoftaxinthiscontractremainsunchanged.本合同不含税单价不变。5.MeasurementandPayment计量和支付5.1Paymentshallbemadeona(monthly)basis.UponPartyB’scompletionofthevarioustestsandinspectionscommissionedbyPartyAforthecurrentperiodandissuanceofthecorrespondingtestreports,PartyAshallpay100%ofthebilledamountwithin30daysofreceivingPartyB’sinvoiceandreceiptasperthecontract.按（月）度计量支付，乙方完成甲方当期委托的各项试验检测工作、出具相应的检测报告，由甲方在收到当月乙方按合同约定的账单和开具发票收据后30天内支付计量额的100%。5.2Settlementstatementssignedandstampedbyauthorizedrepresentativesofbothpartiesshallserveasthebasisforsettlement.经双方委托代理人签字盖章确认的结算表是进行结算的依据。5.3IfPartyBfailstosubmitthetestandinspectionmaterialstoPartyAwithinthestipulatedtimeaccordingtothecontractandspecifications,PartyAwillnotprocessthesettlement.乙方未按本合同约定及规范要求的时间向甲方提交试验检测资料，甲方不予办理结算。5.4Thefinalsettlementisthesolevoucherforthefinalcreditor-debtorrelationshipbetweenbothparties.Variousformsofreconciliationstatements,checklists,supplements,rewards,etc.,thatareinconsistentwiththefinalsettlement,whetherinwrittenororalform,shallbedeemedinvalid,andthefinalsettlementshallprevail.最终结算是双方最终债权债务关系的唯一凭证，与最终结算不一致的各种形式的对账单、核对单、增补、奖励等书面（或口头）材料均无效，以最终结算为准。5.5PartyAshallnotmakeanyadvancepaymentstoPartyB.PartyBmusthavesufficientworkingcapitaltomeettherequirementsofthisproject.甲方不向乙方支付预付款，乙方必须具备满足本工程的流动资金。5.6Paymentmethods:PartyAmaymakepaymentsthroughbankremittanceandsupplychainfinancingmethods,includingbutnotlimitedtobankremittance,bankacceptancedrafts,commercialacceptancedrafts,domesticlettersofcredit,supplychainfinancing,etc.PartyBvoluntarilyacceptstheabovepaymentmethods,whichshallbedeemedequivalenttocashpayment.支付方式：甲方可以银行汇款及供应链融资方式。包括但不限于银行汇款、银行承兑汇票、商业承兑汇票、国内信用证，供应链融资等支付。乙方自愿接受以上付款方式，视同现金支付。5.7PartyBisresponsibleforinvoicereceipt,andtheissuancetimeandrequirementsshallbesubjecttoPartyA'snotification.TheinvoicereceiptprovidedbyPartyBshallmeetPartyA'srequirements.IfPartyBfailstoprovideorprovidevalidinvoicereceiptinatimelymanner,oriftheinvoicesareincorrect,irregular,illegal,orsuspectedoftaxevasion,PartyBshallbelegallyobligatedtoreissuetheinvoicetoPartyAandbearcompensationliability,includingbutnotlimitedtotaxes,latefees,fines,andrelatedlosses,andPartyAhastherighttodeducttheseamountsfromthepayableamount.乙方负责开具发票收据，开具时间和要求以甲方通知为准。乙方提供的发票收据应满足甲方要求，如果乙方未提供或未及时提供有效的发票收据或开具的发票信息错误、不规范、不合法或涉嫌虚开发票引起税务问题的，乙方需依法向甲方重新开具发票，并向甲方承担赔偿责任，包括但不限于税款、滞纳金、罚款及相关损失等，且甲方有权从应付款中予以扣除。6.ConfidentialityObligations保密义务6.1Eachpartyshallmaintainconfidentialityregardingthecustomerinformation,non-patentedtechnologies,andothercommercialsecretsoftheotherpartyinvolvedinthistransaction,aswellastheconfidentialityofthiscontractanditscontents.Withoutthewrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdpartyinanymanner,exceptasrequiredtofulfillthiscontract.任何一方对于本次交易行为知悉的对方的客户资料、非专利技术等商业秘密和本合同及内容负有保密义务。除为履行本合同需要外，未经对方书面同意不得以任何方式向任何第三方泄露。6.2Anypartyfailingtofulfilltheobligationsstipulatedinthisconfidentialityclauseshall,inadditiontocompensatingtheotherpartyforanylossessufferedasaresult,payapenaltyof[100000]PHP.Ifonepartysufferslossesduetothebreach,thecomplyingpartyshallhavetherighttoimmediatelyterminatethecontract.任何一方未履行本保密条款约定之义务者，除赔偿对方因此而遭受的损失外，还应向对方支付10万比索的违约金，如造成一方损失，守约方有权即时解除合同。7.IntellectualPropertyRightsandComplianceCommitment知识产权及合规承诺7.1Duringtheeffectivetermofthiscontract,anynewtechnologicalachievementscompletedbyPartyAutilizingthetechnicalserviceworkresultssubmittedbyPartyB,aswellasanynewtechnologicalachievementscompletedbyPartyButilizingthetechnicalinformationandworkingconditionsprovidedbyPartyA,shallbeownedbyPartyA.在本合同有效期内，甲方利用乙方提交的技术服务工作成果所完成的新的技术成果，以及乙方利用甲方提供的技术资料和工作条件所完成的新技术成果，归甲方所有。7.2PartyBshallundertaketoensurethatPartyAisnotsubjecttoanylawsuitsbroughtbythirdpartiesalleginginfringementoftheirpatentrights,trademarkrights,copyrights,orotherintellectualpropertyrightswhenusinganypartoftheserviceresultsprovidedbyPartyB.PartyBshallnegotiatewiththethirdpartyandbearalllegalliabilitiesandexpensesarisingtherefrom(includingbutnotlimitedtolitigationcosts,attorney'sfees,otherdefensecosts,andanylosscompensation,litigationcosts,attorney'sfees,etc.,claimedbytheclaimantandruledbytherelevantauthoritiestobebornebyPartyA).乙方应承诺甲方在使用其服务成果的任何一部分时，免受第三方提出的侵犯其专利权、商标权、著作权或其他知识产权的起诉。任何第三方提出的侵权指控，乙方必须与第三方交涉并承担由此引起的一切法律责任和费用（包括但不限于甲方支出的诉讼费用、律师费用、其他应诉抗辩费用以及经有关机构裁决需由甲方承担的索赔人所主张的损失赔偿、诉讼费用、律师费用等）。7.3Unlessotherwiseagreedinthecontract,theusagefeesforpatents,proprietarytechnologies,andtechnicalsecretsdeterminedbyPartyBbeforeandatthetimeofsigningthecontractarealreadyincludedinthecontractprice.除合同条款另有约定外，乙方在合
