ecifications,qualityandperformanceasspecifiedintheContract,and/orrepairthedefectiveCommoditiesattheSeller’sexpensesandrisksandbearalldirectlyrelatedexpensessustainedbytheBuyer.TheSellershallatthesametimeguaranteethequalityofthereplacedCommoditiesforafurthercorrespondingperiodaccordingtoClause8.8.WarrantyA.TheSellerwarrantsthedesign,materialsandworkmanshipoftheEQUIPMENT,accessoriesandcomponentssuppliedbytheSellerandthattheyarebrandnewandunused,andcomplywithallrespectswiththeTechnicalAgreement(AppendixI)stipulatedintheCONTRACT.Duringtheguaranteeperiod,Ifthefailureorbreakdownoccurduetosellerequipmentdesign,material,workmanship,accessoriesandcomponents.Thesellershouldberesolvedthefailureorbreakdownbyfree.B.Thewarrantyperiodbeginsatthevesseldeliveryandshallbe12monthscountingfromthedateonwhichtheVesselisacceptedbytheship-owner.However,anyreplacementsorrepairswhichareprovidedbytheSellerwithinguaranteeperiodshallbeguaranteedforafurthersix(6)monthsstartingfromthecompletionoftherelevantreplacementsorrepairs.C.Duringtheguaranteeperiod,shouldanyfailureorbreakdownoccur,theBuyershallimmediatelynotifytheSellerthedetailsofthefailureorbreakdown.TheSellershallreplyintimeandshallwithin48hoursafterhisreceiptofthenoticeassignhistechnician(s)tothesitetoeliminatethedefect(s).shouldtheSellerfailtoreplyorsendhistechnicianswithinthreedays,theBuyershallbeatlibertytoeliminatethedefect(s)byhimselfortheownerofthevesselattheSeller’sexpenseandtheSellershallberesponsibleforanyproblems.D.ThesellershouldissuethebankguaranteeforthewarrantyofcontractualequipmentwhentheVesselisacceptedbytheship-owner,theguaranteeamountshouldbe10%contractualamount,Theguaranteeperiodwillbe12monthsaccountingfromthedateonwhichtheVesselisacceptedbytheship-owner.Theguaranteeshouldclearlyrecordthatthesellershouldbechargeofthecostwhenwarrantyhappensinwarrantyperiod.Thebankname,address,phoneNo,faxNo.e-mailaddressshouldbeclearlyrecordedintheguarantee.Thebuyeronlysubmitthewarrantyinvoicetothebank,andgetbackthewarrantyfeefrombankwhenwarrantyishappening（交船时开具质保保函，有效期与质保期相同，如合同留质保金，本条删除）9.ForceMajeureA.IfeitherofthepartiestotheContractispreventedfromexecutingtheContractbycaseofForceMajeureaswar,serious,typhoonandearthquake,etc.,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthosecauses.AneventofaForceMajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome.B.IncaseofForceMajeure,theSellershallnotbeheldresponsiblefordelayindeliveryornon-deliveryofthegoodsbutshallnotifyimmediatelytheBuyerbyfaxoremailanddelivertotheBuyerbyregisteredmailacertificateissuedbygovernmentauthoritiesofChamberofCommerceasevidencethereof.IftheshipmentisdelayedoveronemonthastheconsequenceofthesaidForceMajeure,theBuyershallhavetherighttocancelthiscontract.TheSeller’sinabilityinobtainingexportlicenseshallnotbeconsideredasForceMajeure.10.DelayeddeliveryandliquidateddamagesA.IftheSelleranticipatesthatwillbeunabletodeliveryanycontractualproduction(includingbutnotlimitedtocommodity，drawingorcertificates)onorbeforedeliverytimeintheContract,theSellershalltakealleffectivemeasurestoshortenthedelayimmediatelyandactively.B.IfdeliveryofthecommodityisdelayedduetotheSeller’sdefault,theSellershallpayasum,asliquidateddamageforsuchdelay,atarateof1%ofcontractpriceforeachday.TheBuyershalldeductsuchliquidateddamagesfromthecontractprice.IntheeventthattheSellerfailstomakedeliverywithin30daysafterthecontractdeliverydatespecifiedintheContract,theBuyershallhavetherighttoterminatetheContract,andallliabilitiesandcostsarisingtherefromshallbebornebytheSeller,suchas-butnotlimitedto-commercialoreconomiclosses,lossofproduction,lossofuse,lossofrevenue,lossofprofit,delayandbusinessinterruptionandothersimilarcausesorlosses,whetherdirectorindirect.C.ThesellershouldsupplythecompletedApprovaldrawingwithinXXdaysaferthecontractcomesintoeffect,oraspertheTechnicalagreementrequireddate,(根据谈判结果，写明认可图提供时间）andsupplytheenoughquantityoffinaldrawingandcertificateswithinXXdaysafterthegoodsarrived,TheQuantityshouldbeinaccordancewiththetechnicalagreement;howeverincaseofanyinconsistencybetweentheimportcontractandtechnicalagreementaboutthedrawingandcertificates,thetechnicalagreementindateshallprevail.iftheSellerfailstodeliverytotheBuyersontime,liquidateddamagesshallbechargedattherateof1﹪ofthetotalvalueofcontractpriceforeachweek,adddayslessthan1weekshouldbecountedas1week.Thetotalliquidateddamagesshallnotexceed5﹪ofthecontractprice.TheBuyershallentitletodeductsuchliquidateddamagesfromthecontractprice,andallliabilitiesandcostsarisingtherefromshallbebornebytheSeller,suchas-butnotlimitedto-commercialoreconomiclosses,lossofproduction,lossofuse,lossofrevenue,lossofprofit,delayandbusinessinterruptionandothersimilarcausesorlosses,whetherdirectorindirect.11.TERMINATIONFORBREACHOFCONTRACTTheBuyermay,withoutprejudicetoanyotherremedyforbreachofContract,bywrittennoticeofdefaultsenttotheSeller,terminatethisContractinwholeorinpart.IftheSellerfailstodeliveran
