ytheshipper,theage,flag,deadweighttonnage,beam,overalllengthanddraftoftheVesseltheownerintendstouseandsuchotherinformationasmayberequiredbytheloadingterminaloperatorfromtimetotime;1.b)theETAoftheVesselattheLoadPort;1.c)demurragerateforthevoyageordailytimecharterhirerate;1.d)fullwritten,documentaryinstructionsregardingthepreparationanddisproportionofbillsofladingandanyothercustomaryLoadPortdocumentationwhichmayberequired;1.e)theVessel’sIMOnumber;and1.f)ifrequiredbyIndonesianregulationinrelationtotheVessel,acovernotefromadomesticIndonesianinsurancecompanyevidencing,totheshipper’sreasonablesatisfaction,insuranceoftheCoalonboardtheVesselandcoveringaperiodnolessthanthedurationoftheVesselvoyagefromtheLoadPorttothedischargeportandanyotherinsurancedetailsasrequiredbytheshipperforverificationofcompliancewiththeIndonesianMinistryofTrade’sregulationsconcerninginsurance;and1.g)suchotherinformationastheshipperorcharterersmayreasonablyrequest.(3)Onorbeforethefifth(5th)daybeforetheETAoftheVesselattheLoadPort,theownerwilldeclaretotheShipper:1.a)thequantityofCoaltobeloadedinaccordancewiththeVessel’sstowageplan;1.b)theidentityoftheownerr’sagentattheLoadPort;and1.c)anyotherinformationreasonablyrequiredbytheShipperinordertopreparefortheloadingoftheVessel.AcceptanceofVessels(4)Thecharterersshallconfirmacceptancebyemailoftheowner’snominatedVessel,suchacceptancenottobeunreasonablywithheld,withinone(1)BusinessDayfromthereceiptofaVesselNomination.RejectionofVessels(5)WheretheShipperorCharterersrejectsanyVessel,itwilluseallreasonableendeavourstodosowithinone(1)BusinessDayofthereceiptofaVesselNomination,includingasubstituteVesselNominationintheeventthatthenominatedVesseldoesnotmeettherequirementsasstipulatedinclauses13.5(1)and13.4.VesselSubstitution(6)TheownermaysubstituteaVesselwithanotherVessel,complyingwiththeprovisionsandwarrantiescontainedinclauses13.5(1)and13.4bygivingarevisedVesselNominationtothecharterersinconformitywiththerequirementsofclauses13.5(1)and13.5(2)savethat:1.a)noticeofthesubstitutionmustbegiventotheShippernolaterthanthefourth(4th)daypriortotheoriginalETAoftheoriginallynominatedVessel;1.b)thesubstituteVessel’sETAshallbenoearlierthantheoriginalvessel’slatestETAandnolaterthantwo(2)daysaftertheoriginalVessel’slatestETA;and1.c)thesubstituteVesselshallbeabletoloadtheshipmentduringtheagreedLaycan.13.6ANYTAXAND/ORDUESASSESSEDONTHEDESIGNATEDVESSELAND/ORFREIGHTSHALLBEATTHEOWNER’SACCOUNT,BUTONCARGOATLOADINGPORTSHALLBEATTHECHARTERERS’ACCOUNT.13.7ForceMajeure(1)Aforcemajeureeventshallbeanevent,circumstanceoroccurrencebeyondthecontrolofaPartyandwithoutthefault,contributionornegligenceofthePartyaffectedincludingwithoutlimitationcivilcommotion,riot,strike,lockout,actofGod,naturaldisaster,fire,flood,rainwar,introductionoforchangetoanylaw,regulationorgovernmentalpolicyordirective,embargo,blockadeorhostility,disease,epidemicandterrorism,theeffectofwhichmateriallydelaysoraffectstheParty’sperformanceofanyofitsobligationsunderthisAgreement(ForceMajeureEvent).(2)IfeitherParty’sperformanceofanyofitsobligationsunderthisAgreementismateriallydelayedoraffectedbyreasonofaForceMajeureEvent:(a)theaffectedPartyshallgivenoticeofsuchForceMajeureEventtotheotherPartypromptlyuponitbecomingawareofitsoccurrencestatingthenatureoftheForceMajeureEventanditsimpactupontheaffectedParty’sobligations;;and(b)theaffectedPartyshallusereasonableendeavourstorectifyorovercometheForceMajeureEventandminimisethelossesanddamagewhichmayariseasaresult.(3)ProvidedthattheaffectedPartyhasgivennoticepursuanttoclause13.7(2)(a)andissatisfyingitsobligationsunderclause13.7(2)(b):(a)theaffectedPartymaysuspendperformanceofitsobligationsunderthisAgreementtotheextentofandforthedurationthattheForceMajeureEventmateriallydelaysoraffectsperformance;(b)neitherPartyshallbeliableforanyfailuretocomplywithitsobligationsunderthisAgreementtotheextentofandforthedurationthattheForceMajeureEventsmateriallydelaysoraffectsperformance;and(c)unlessotherwiseagreedinwriting,neitherPartyshallbeobligedtomakeuportakeanydeficienciesindeliveriestotheextentanydeliveriesweremateriallydelayedoraffectedduringthedurationoftheForceMajeureEvent.(4)Withoutprejudicetothegeneralityoftheforegoing,iftheForceMajeureEventoritseffectsubsistsformorethanthirty(30)days,eitherParty,atitssoleandabsolutediscretion,shallhavetheoptiontodoanyofthefollowing:(a)cancelthewholeorthedelayedoraffectedportionoftheshipment;(b)deferorallowdefermentoftheaffectedParty'sperformanceoftheobligationsunderthisAgreement,andshallgivewrittennoticetosucheffecttotheotherParty.Insuchevent,neitherPartyshallholdtheotherresponsibleforanylossesitmaysustainorhavesustainedasaresultoftheForceMajeureEvent.(5)ThisAgreementshallbeautomaticallyextendedfortheperiodoftheForceMajeureEventandatanytimeshouldtheForceMajeureEventcease,theaffectedPartywillberequired,totheextentpossibleandinconsultationwiththeotherParty,withbothPartiesactingingoodfaith,tocomplywithanyobligationsunderthisAgreementthatwerefailedtobecompliedwithduringtheForceMajeureEvent.(6)Withoutprejudicet International Chamber of Commerce.Insolvency Eventmeans:(a)being, or having a resolution passed for it to be, dissolved or entered into liquidation whether compulsory or voluntary (other than for the purposes of amalgamation, consolidation or merger); or(b)seeking or having a receiver, administrator, liquidator or similar official appointed over all or substantially all of its assets; or(c)filing for or having filed against it:(c)a.a proceeding seeking a judgment of insolvency or bankruptcy or any other relief under any bankruptcy or insolvency law or other similar law affecting creditor’s rights; or(c)b.a petition for its liquidation or being wound up;unless in the case of any such proceeding or petition being filed against such Party,(c)c.the Party is able to pay its debts as they fall due; or(c)d.is otherwise in a position which does not justify the commencement of such proceedings,and such proceeding or petition is discharged, dismissed, withdrawn, stayed or restrained within five (5) Business Days of such filing; or(d)making any general composition, assignment or arrangement with or for the benefit of creditors; or(e)becoming insolvent of failing or being unable to pay its debts or acknowledging in writing its inability generally to pay its debts as they fall due; or(f)having a secured party take possession of, or having a legal process levied against, all or substantially all of its assets and such possession or process not being within 30 days of the event; or(g)otherwise becoming or being declared bankrupt or insolvent (however evidenced); or(h)causes or is subject to any event with respect to it which, under the applicable laws of any jurisdiction, has an analogous effect to any of the events in this definition (specified above) (inclusive); or(i)takes any action in furtherance of, or indicating its consent to, approval of, or acquiescence in, any of the acts referred to in this definition of Insolvency Event.Lossmeans, in respect of a terminated transaction, an amount which the Non-Defaulting Party determines in a commercially reasonable manner to be its total losses and costs resulting from the termination of the transaction including, including but not limited to, loss of bargain, cost of funding or, at the election of the Non-Defaulting Party, but without duplication, loss or cost (including, but not limited to, all reasonable expenses, legal fees, brokerage fee) reasonably incurred as a result of its terminating liquidating or re-establishing any related trading position (including any arrangement whereby it has hedged its obligations under the relevant transaction) or entering into new arrangements which replace the relevant transaction or preserve for the Non-Defaulting Party the economic benefit thereof .Minemeans the mine owned by PT Tanah Bumbu Resources (TBR).
