福建省马尾造船股份有限公司产品购销合同合同编号：签约地点:福州所用船舶及型号：买方：福建省马尾造船股份有限公司联系地址：福建省福州市连江县琯头镇粗芦岛船政大道1号联系人：联系电话及邮箱：卖方:联系地址:联系人：联系电话及邮箱：鉴于买方在建船舶需求，就买方向卖方购买产品，卖方提供产品和服务等事宜，现根据《中华人民共和国民法典》等相关法律规定，经双方平等协商后，达成如下条款：一.产品概况:序号产品名称型号规格数量、单位合同单价含税金额(人民币)含税总价（人民币）合同总价含税金额为：元（大写），不含税金额为： ）（注：该固定总价已包含产品制作费、包装费、运输费、调试费、船检费、税率等到厂价，买方无需就本合同再额外支付其他费用）备注：双方将根据国家财政局、税务总局颁布的相关通知、文件规定的最新增值税税率来调整合同金额，最终合同金额根据不含税总价和实际开具的增值税专用发票的税率来确定。注：上述产品应满足买卖双方于年月日签订的技术协议（编号：）在本产品履行过程中，买方增减采购产品数量的，除双方另行书面约定外，价格仍按本合同约定价格执行，合同期内产品单价不因任何原因而调整。本合同供货清单内若包含“米”和“吨”两个单位的，卖方必须确保所有材料按米数足额供货，并在签收清单中记录清楚实际的送货米数以及吨位。本合同中的重量“吨”为理论计算重量，合同结算按“米”进行结算，若合同供货为不定尺供货，结算时以米数乘以每米的单价做为最终结算总价。另外，厂家开据的发票计量单位为“米”。(根据实际业务选用)二.交货方式、日期及地点：1.卖方应在前将全部产品交付至福建省福州市连江县琯头镇粗芦岛船政大道1号(或买方书面指定地点)。在卖方发货前1个月，买方有权以电邮方式通知卖方变更交货时间、数量及地点。卖方对此表示认可并承诺不因买方变更交货时间、地点、数量而额外收取费用。2.卖方负责将产品运至买方所指定地点，并在产品装运后1日内将合同号、品名、件数、重量、运输工具名及装运日期以邮件方式通知买方，卖方对产品的包装应符合国家有关规定。三.资料交付、包装要求：1.卖方提供的制造工厂的品质及数量、重量证明书，批号须与产品一致。2.所供产品的技术规格与双方签订的技术协议规定的标准相一致，若技术协议中无相应规定，产品应符合合同签字时施行的船级社和国家（有关部门）的标准。3.技术规格书上所要求的资料要和相应的材料（包括但不限于产品认可图、产品工作图、产品完工图）应一并装箱,并在装箱单上注明。4.产品证书：按照双方技术协议要求在产品交付后30日内以邮寄方式向买方提供。另外，钢型材、管材等原材料的证书必须包括：供方名称或商标，需方名称，证书签发日期，产品标准号，牌号，炉（批）号，交货状态，重量，根数或件数，品种名称，尺寸（型号或规格）和级别，产品生产标准所要求的所有试验数据结果（包括：化学成分、屈服强度、抗拉强度、伸长率、冲击功、弯曲试验等等），供方质量监督部门印记等信息。5.装箱单及/或重量单：发货前1日将发货清单等单据以邮件的方式提供给买方，发货清单上必须注明合同号，并详细列出产品总箱数，每箱内所装产品的名称及数量，并将此清单放在每个包装箱内，并粘贴一份在包装箱外。发货的包装要求有效保护货物安全、防止破损、生锈等情况的发生；装箱时要求分类、分规格进行包装；要求达到清楚分类、高效清点的目的；发货包装要求如下：（根据实际业务情况而定）5-1.紧固件、垫片包装：发货包装采用木箱内套纸箱或袋子等形式，要求明确区分分段号、托盘号、船号；不同船号、不同托盘、不同分段号的料件不得混装；每一箱内外各放一份装箱清单，清单必须与箱内产品规格和数量相对应。5-2.法兰包装：发货包装采用木箱为外包装，木箱内要求：同种规格按10个绑为一组（捆绑材料自选），不足10个的单独绑为一组；不同规格不得混绑，必须区分规格；然后一组一组的装入木箱内；每一箱内外各放一份装箱清单，清单必须与箱内产品规格和数量相对应。5-3.弯头异径包装：发货包装采用木箱为外包装或托盘，原则上同一木箱/托盘，所装弯头异径为同一规格；如果要混装，同一木箱/托盘内不得超过3种规格；每一箱/托盘内外各放一份装箱清单，清单必须与所装产品规格和数量相对应。发货数量很少时可混装在一个木箱/托盘内。5-4.卡套包装：发货包装采用木箱内套纸箱或袋子等形式，要求明确区分规格，同一规格的卡套需装入同一纸箱/袋子后，再装入木箱中；每一箱内外各放一份装箱清单，清单必须与所装产品规格和数量相对应。发货数量很少时可混装在一个木箱内。5-5.TC/TA包装：发货包装采用木箱为外包装，木箱内要求：同种规格按10个绑为一组（捆绑材料自选），不足10个的单独绑为一组；不同规格不得混绑，必须区分规格；最后一组一组的装入木箱内；每一箱内外各放一份装箱清单，清单必须与箱内产品规格和数量相对应。5-6.精密无缝钢管发货时，管子两端必须带管堵，管子打包成捆时，每捆包装外必须有防护措施，防止运输过程中损坏；盘管发货时，每组盘管外包装必须做好防护措施，防止运输过程中损坏；6.卖方保证其供应的所有产品不含石棉材料，并在产品到达目的地3个工作日内向买方提供“无石棉声明”(按买方要求的格式)或有检测资质的第三方检测报告等支持文件。若买方发现卖方所供产品含有石棉材料的，由此引起的所有责任及损失均由卖方承担，包括但不限于买方被要求做全船的无石棉检测所发生的费用及损失责任。若在买方交船后发现上述情况，卖方仍须承担由此引起的所有责任，此责任并不受质保期限及合同其他损失索赔条款的限制。（根据实际业务情况而定）7.对于特殊产品（如易燃、易爆）必须特别标明其品名、性质、特殊保护措施、保存办法以及处理意外情况的办法。8.卖方必须按下列格式，在每个包装箱外做好标识。收货人：福建省马尾造船股份有限公司收货人地址：福建省福州市连江县琯头镇粗芦岛船政大道1号采购员及电话：船号或合同号：设备名称：若卖方逾期履行上述任何义务，每逾期一周则按款项总额的1%向买方支付违约金，不足一周按一周计算，每项义务逾期履行的违约金最多不得超过款项总额的10%，但卖方已经完成货物生产制造具备交货条件而不交货按照本合同第八条约定执行。四.付款条件与结算方式：（一）双方约定按以下第种进行付款：1.全部产品交付后，买方收到卖方开具的全额增值税专用发票三个月内向卖方支付合同总价80%的款项，在产品所适用船舶试航结束、全部证书及完工资料交买方后，根据产品实际质量情况续付至合同总价90%，剩余合同总价10%作为质保金，在保修期届满后，买方根据产品实际质量情况在三个月内无息支付。2.合同生效后，在买方向卖方支付合同总价10%的预付款前，卖方应向买方提供买方认可的等额预付款还款保函。在全部产品交付后，买方收到卖方开具的全额增值税专用发票后三个月内向卖方支付合同总价70%的款项，在产品所适用船舶试航结束、全部证书及完工资料交买方后，根据产品实际质量情况续付至合同总价90%，剩余合同总价10%作为质保金，在保修期届满后，买方根据产品实际质量情况在三个月内无息支付。注：若因卖方迟延开具保函，买方有权顺延支付预付款，卖方不得借此要求顺延交货期。3.全部产品交付后，买方收到卖方开具的全额增值税专用发票、全部证书及完工资料交买方后，三个月内向卖方支付款项。4.合同生效后个工作日内，买方预付货款，卖方在收到买方的预付款后立即发货，并开具全额的增值税发票单独邮寄到买方、全部证书及完工资料交买方后。5.卖方应在发货前邮件或书面文件通知买方，买方在收到通知后个工作日内向卖方支付货款，卖方在收到买方的货款后应立即发货，并开具全额的增值税发票、全部证书及完工资料交买方后。（二）本条款款项结算方式按如下第种方式办理：1.以银行转账方式结算；2.以银行承兑汇票（承兑日期为汇票确认之日起个月）结算。（三）本条款关于质保金的收取，若买方另行书面同意卖方以提供等额质保函替代合同总价10%质保金时，买方应在最后一笔款项结算时一并支付。（四）本合同款项结算时，若因卖方违约或造成买方损失时，买方有权在书面告知卖方扣减事由后直接扣减相应地款项，卖方对此表示认可。（五）双方指定银行及纳税人识别号1.买方指定银行及纳税人识别号：开户行及账号：工商银行福建自贸试验区福州片区分行、14020261090044003纳税人识别号：9135000015814734492.卖方指定银行：开户行及账号：五.保险：由卖方按中国人保运输产品保险条款按发票金额的110%投保一切险。如果发生保险范围内的索赔,卖方应根据买方要求,重新发运本合同下的产品或采取其他措施,保证买方的生产不受影响。若发生保险事故造成逾期到货的，卖方仍应按本合同约定承担违约责任。六.交付和检验：1.在发货前，卖方应对全部产品的质量、规格、性能、型号、数量和重量等进行准确而全面的检验，FAT实验前一周卖方向买方指定邮箱发出邮件通知，并告知FAT实验的具体日期、实验流程及项目2.卖方将产品运送至目的地后，买方签收时若产品的数量、外观等与送货清单相符，则买方签收确认，否则买方有权拒收产品，拒收产品之日起产品灭失或毁损的风险由卖方承担。签收后30日内，买方应进行来货检验，若卖方需参与来货检验，买方应在来货检验前书面通知卖方参与检验，若卖方收到通知后未参加检验，视为认可买方检验结果。来货检验完毕后，若产品验收合格，视为卖方完成产品交付；若检验不合格，买方有权根据本合同第八条第二款的约定采取救济措施，卖方应在三个工作日内按照买方提出的解决办法予以解决，造成交货延误的，按照逾期交货处理。产品表面验收合格并不意味着对卖方全部产品的质量等确认。3.产品安装后，卖方应根据买方规定时间对产品进行调试（若有），调试完毕后，由买卖双方组织产品验收。七、不可抗力由于不可抗拒事故,使卖方不能在合同规定期限内交货或不能交货,卖方不负责任，但卖方应在24小时内以邮件通知买方,并在五天内以挂号函向买方提供有关政府机构或者商会所出具的证明,以证明事故的存在。由于不可抗拒事故致使交货延期超过30天以上时,买方有权解除合同，并要求卖方退还买方已支付但未能交货的款项，卖方应在收到买方解除合同通知后5个工作日内退还款项。但若因卖方迟延履行期间发生的不可抗力不具有免责效力。八、违约责任1.除本合同第七条不可抗拒原因外,卖方不能如期交货或提供服务应在24小时内以书面形式将不能按时交货或提供服务的理由、可能延误的时间同时通知买方。买方在收到卖方通知后，根据具体情况决定是否延长交货时间或解除合同并按照下列方式要求卖方承担责任：（1）在买方要求卖方继续履行合同的情况下，卖方应立即采取一切有效措施积极补救。若实际产生逾期，自本合同第二条约定的交货日期始，卖方每逾期交货一日应向买方支付合同总金额1%的违约金。若卖方不能在买方同意的交货时间内交货，则买方有权解除合同或向第三方采购同种类货物，卖方应承担由此给买方造成的全部损失并按合同总价的30%向买方支付违约金。（2）买方有权直接解除合同，卖方应退还买方已支付价款及利息并承担由此给买方造成的全部损失（上述利息应从买方付款之日起按照中国人民银行同期贷款利率计算至卖方退还款项及利息止（下同）、买方退货之日起产品灭失或毁损的风险由卖方承担）；2.在合同规定的检验期和质量保证期内，产品不符合合同约定或双方技术协议书约定，买方可选择的下列一种或多种方式解决：（1）买方选择退货的，卖方应退还已付款项及利息，并承担由此发生的一切损失和费用（包括但不限于：利息、银行手续费、运费、保险费、检验费、仓储费、装卸费以及为保护退回产品所需的其它必要费用）；（2）支付因此增加的费用，包括但不限于买方或买方指定的第三方进行检查、返工、重新测试、储存、装运、重新包装、重新安装、赶工和替换不良产品所产生的费用；（3）根据产品的低劣程度、损坏程度以及买方所遭受损失的数额，卖方降低供货价；（4）用符合要求的规格、质量和性能等新材料来更换有缺陷的部分，卖方应承担由此产生的一切费用和风险，并承担买方所蒙受的全部损失费用。同时，卖方应按合同规定，对更换件相应延长质量保修期；根据本条款约定，如果在买方发出索赔通知后2天内卖方未作答复，上述索赔应视为已被卖方接受，如卖方未能在买方提出索赔通知后7天内，按照买方选择的方法解决索赔事宜，买方有权将从卖方履约保函（若有）、款项中扣减相应的索赔金额，不足部分由卖方承担。本合同所指卖方给买方造成的全部损失包括但不限于：直接损失、预期利益损失、买方应向其他客户支付的违约金和赔偿金、买方使用其他供应商产品代替卖方未交付的合同产品而产生的全部费用（包括但不限于产品价格的差异、停工待料费用及赶工费）、买方为索赔而支出的诉讼费、保全费、律师费、公证费等必要的费用。3.除卖方原因外，若买方在规定时间内未向卖方支付款项，每逾期支付一日按照中国人民银行同期贷款利率计算利息，但利息总额不得超过未付款项的20%。九、附随义务1.卖方应在质保期限内对所提供产品实施更换、维修，但是该服务并不免除卖方在质量保证期内应承担的义务。2.如产品中需要安装调试等服务：【根据业务选择修改】（1）买方应该按照卖方的操作指导进行产品安装。/卖方应负责该设备的安装，并应向买方提供设备的使用指导说明。（2）安装后，卖方应检查设备运行状态，直到能够正常使用为止。（简称“调试”）如果设备没有达到正常使用状态，买方可以要求卖方重新调试。（3）在调试/试航期间，卖方应提供合适的劳动力、工作服、鞋子、安全帽、工具和材料等，买方可以提供必要的协助。（4）买方应至少在xx天前通知卖方调试/试航日期。卖方应严格按照买方的通知安排人员到船厂服务。如果卖方未能及时安排人员提供服务，那么应向买方支付xx美元/天，并且买方保留索赔的权利。除非另有要求，卖方应指定有经验和称职的服务人员在买方工作日内提供现场调试/试航服务。但如服务人员不称职或缺乏经验，服务时间免费延长，直至工作成功完成为止。如果卖方想安排学员在买方学习，学员的培训时间不能计入服务时间。（5）卖方将提供单船总共xx人天的免费调试/试航服务。超过合同规定的服务期限的服务费，按下列规定执行：船厂调试（每天8小时）每人每天xx美元。试航（每天16小时）每人每天xx美元。（6）因卖方原因导致部件丢失或损坏，或者服务时间浪费，不应计入合同服务时间。如果服务人员在船上的工作时间不足8小时（不包括路途时间），卖方应予以补充或在最终结算中扣除。（7）如果单船合同的免费服务时间没有用完，卖方同意将剩余的时间转让给同系列姊妹船。（8）在服务期间，服务人员应遵守买方适用于工作现场的安全生产规章制度和当地法律。服务人员应遵守买方的工作时间，不允许迟到或早退。工程进度紧张时，服务人员会配合并协助买方完成紧急工作。服务人员在买方所在地的安全责任应由卖方负责。十、权利担保及质量保证1.卖方保证本合同产品及其包含的组件和零件均为全新，每件合同产品均无瑕疵，完全符合本合同及技术协议规定的质量和规格，且产品权利不存在任何瑕疵，保证买方在使用该产品或其任何一部分时不受第三方提出侵犯权利的起诉。一旦出现侵权，由卖方承担全部责任。如造成买方损失的，买方有权向卖方追偿。2.产品质量保证期限自买方交船后起算保修期为十二个月。在保修期内，卖方可支持的保修范围（全球联保/全国联保），对由于设计、工艺或材料的缺陷而发生的任何不足或故障负责，卖方须承担由此产生的一切损失和责任，包括但不限于修理、更换、产品运输及重新安装、专家咨询、质保差旅等费用。如果在保修期内对发现的一般缺陷，乙方应及时修理或替换机器/配件等，针对新换上的机器/配件乙方应提供额外六个月的保修期，或更换的机器/配件与整个产品总共有十八个月的保修期。因设备重大缺陷、故障和损坏导致整机更换后，该设备的保修时间自更换并验收合格之日起重新计算。3.在保修期内或经有关部门检验，产品的质量或规格与合同不符，或产品有缺陷，包括潜在的缺陷或是使用不符合要求的材料等，买方以书面形式向卖方索赔。4.对于产品隐蔽性的、通过合理的检查和试验都不能发觉的缺陷，即使质量保修期已过，但由于产品本身的设计缺陷、制造缺陷、安装缺陷造成的故障，仍由卖方免费修复。4.卖方在收到买方有关卖方所提供产品的质量问题通知后，应在12小时内响应，24小时内解决一般问题，48小时内解决疑难问题。确实需要一定供货周期的特殊部件更换时，卖方应以书面形式向买方申请，获得许可后方可延长时间。若卖方在收到买方有关卖方所提供产品的质量问题通知后，怠于履行上述义务，买方有权委托第三方予以解决，由此而产生的一切费用和风险由卖方承担。买方有权直接从质保金中扣减因此产生的一切费用，不足部分由卖方承担。5.卖方因供货质量问题给买方造成重大经济损失或责任事故的，卖方应赔偿买方损失，构成责任事故的，由司法机关追究卖方的法律责任。十一、合同终止1.当卖方破产、停产或其他无清偿能力时，买方可在任何时候以书面通知卖方终止合同，该终止合同以不损害或影响买方已采取或将采取补救措施的任何权利为条件。2.在买方对卖方违约而采取的任何补救措施不受影响的情况下，买方可向卖方发出终止部分合同或全部合同的书面通知书。十二、争议解决因本合同引起的或与本合同有关的任何争议，双方应先友好协商解决，若协商不成的，双方选择按下列第种方式解决：1.提交福州仲裁委员会仲裁，仲裁裁决是终局的，对双方均具有约束力；2.依法向甲方所在地人民法院提起诉讼十三、通知及送达1.买卖双方确认本合同中各提供的地址、联系方式、邮箱系本合同履行及相关事宜的通知、文件，以及仲裁机构、法院与国家机关因本合同争议及/或裁决执行发出的通知和法律文书的唯一送达地址、通讯方式。一方变更上述地址、联系方式、邮箱的，应在24小时内书面通知对方；若因一方未按时通知对方，对方及仲裁机构、法院或国家机关按照原地址、原通讯方式送达，无论是否退回均视为送达。2.按本合同约定由任何一方发给其他方的任何通知或者书面通讯，包括但不限于本合同约定必须发出的任何及所有书面文件或通知，如采用挂号邮寄方式，上述文件或通知在投邮后第4日，即视为送达和收到之日；如采用图文传真方式，发送成功回执所示之日，即视为送达和收到之日；如采用特快专递方式，专递人员将上述文件或通知送达收件人地址之日，即视为送达和收到之日。十四、安全生产条款1.卖方为履行合同义务，派遣至买方相关人员（统称服务人员）；必须随身携带工作服、安全帽、安全鞋、安全带等劳动防护用品；服务人员需具备相应的资质，以确保工作的顺利完成；卖方必须告知服务人员严格遵守买方的规章制度，不得违反。2.卖方服务人员到达买方，必须接受买方的安全教育，仔细阅读《外来人员（临时人员）安全告知》并签署《三级安全教育登记表》。未完成安全教育、未签署《三级安全教育登记表》的人员严禁上岗。3.卖方服务人员需服从买方的安全管理，若卖方服务人员拒绝安全教育或违反买方安全生产等规章制度，买方有权要求卖方更换服务人员，并要求卖方承担因此对买方造成的损失。4.卖方作为服务人员的第一安全责任人，除为服务人员购买相应的保险外，还必须加强对服务人员的安全教育，加强安全意识，确保其不违反《安全生产法》、《安全生产违法行为行政处罚办法》、《能源法》、《环保法》和买方相关管理规定。5.若卖方服务人员不遵守买方相关管理规定、违反操作规程等，造成安全生产事故的、或对服务人员造成人身伤害的，相关责任将由卖方承担不由买方承担。十五、其他事项1.钢丝绳、缆绳、卸扣、安全带、电焊手套、电焊安全鞋、救生衣、安全帽等直接关系到生产安全的劳保用品及工具，厂家需提供与产品相符的合格证书和检验报告，产品标识中需要有明确的标识信息，以确保产品与证书的对应关系（包括：产品名称、规格型号、生产标准、生产日期、生产批号、检验机构或证书（报告）编号等信息）。(根据实际业务选用)2.本合同签订及履行过程中，未经买方书面同意，卖方不得将本合同的权利义务以任何方式转让给第三方，否则买方有权单方解除本合同并要求卖方承担因此给买方造成的全部损失和向买方支付合同总价30%的违约金。3.本合同自双方签字盖章后生效至双方全部权利义务履行完毕后自行终止，一式三份，卖方一份，买方两份，均具有同等法律效力。4.本合同如有未尽事宜，双方另行协商。买方：福建省马尾造船股份有限公司授权代表：年月日卖方：授权代表：年月日编号：福建省船舶工业集团有限公司物资采购廉政责任书(合同附件)为加强物资采购的廉政建设，规范买卖双方之间的各项活动，防止发生任何谋取不正当利益的违法违纪行为，保护买卖双方的合法权益，特签订本廉政责任书。第1条买卖双方的廉政责任（一）应严格遵守国家关于市场活动的有关法律、法规和相关政策，以及廉政建设的各项规定。（二）业务活动必须坚持诚信的原则，不得为获取不正当的利益，而损害买卖双方权益。（三）发现对方在业务活动中有违规、违纪、违法行为的，应及时提醒对方，情节严重的，应向对方的纪检监察部门举报。第2条卖方的责任卖方应与买方保持正常的业务交往，履行合同条款的义务，并遵守以下规定：（一）不准以任何理由向买方的相关人员赠送礼金、有价证券、贵重物品和回扣、好处费、感谢费等。（二）不准以任何理由为买方的相关人员报销应由买方或个人支付的费用。（三）不准以任何理由为买方组织有可能影响公正执行公务的宴请、健身、娱乐等高档消费活动。（四）不准以任何理由招聘或录用买方培养的专业人才和技术骨干。第3条买方的责任买方的相关人员在整个业务过程中应遵守以下规定：（一）不准向卖方索要或接受回扣、礼金、有价证券、贵重物品和好处费、感谢费等。（二）不准在卖方的单位报销任何应由买方或个人支付的费用。（三）不准参加有可能影响公正执行公务的卖方的宴请、健身、娱乐等高档消费活动。第4条违约责任（一）买方的相关人员有违反本责任书规定行为的，卖方有义务举报，买方充分保障卖方的相关业务和利益不受损害。对买方中的违法违纪者，一旦发现并经查证，买方将依据有关法律法规给予严肃查处。（二）卖方的相关人员有违反本责任书规定行为的，买方有义务举报，卖方应充分保障买方的相关业务和利益不受损害。对违法违纪的卖方，一旦发现并经查证，买方有权无条件拒付货款，并单方面解除买卖合同，今后不准列入买方的业务联系范围。第五条本责任书作为买卖双方业务合同的附件，与该业务合同具有同等法律效力，经买卖双方签署后立即生效，有效期至该业务合同执行完毕止。第六条本责任书一式三份，卖方一份，买方两份。买方(盖章)：福建省马尾造船股份有限公司卖方(盖章)：法定代表人：法定代表人：（或授权代表人）（或授权代表人）年月日年月日IMPORTCONTRACTTheBuyers:ContractNo:MW-1E-SignedAt:Fuzhou,ChinaDate:2018-5-17ContractNo:MW-1E-SignedAt:Fuzhou,ChinaDate:2018-5-17FujianMaweiShipbuildingLtdAddress:No.1ChuanzhengRoad,CuluIsland,Guantou350501,Lianjiang,Fuzhou,Fujian,ChinaTheseller:SignedAt:MaweiAddress:Tel:Fax:E-mail:ThisContractismadebyandbetweentheBuyersandtheSellers,WherebytheBuyersagreetobuyandtheSellersagreetoselltheunder-mentionedgoodsonthetermsandconditionsstatedbelow:(1)
