(copy)22221111112.PackingAlltheEQUIPMENT,accessoriesandcomponentssuppliedbytheSellershallbepackedsuitableforlongdistanceoceantransportationandtochangeofclimate,wellprotectedagainstmoisture,shocksandroughhandling.TheSellershallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandrustattributabletoinadequateorimproperprotectivemeasurestakenbytheSellerinregardtothepacking.IftheSellerusewoodenmaterialtocarry,pack,level,supportorstrengthenthecommodity,thosewoodenmaterialshouldbeheattreated(HT)ormethanebrominefumigated(MB)byacompanyapprovedbytheSeller’snationalorlocalPlantQuarantineAuthorityandstampedwithstandardIPPCmarkingsspeciallyapprovedbyPlantQuarantineAuthority.Requirementsonthemarkingsareasfollows:A.StandardMarkingSample：PPCXX-000YYIPPC--Abbreviationof《InternationalPlantProtectConvention》；XX--CountryCodeaccordingtoISO;000--CodeofwoodenpackingmanufacturingcompanyapprovedbytheSeller’snationalorlocalPlantQuarantineAuthority;YY--Quarantinepeststreatmentmethods,forexample,MBmeansmethanebrominefumigated,HTmeansheattreated.B.TheSeller’snationalorlocalPlantQuarantineAuthorityorwoodenpackingmanufacturingcompanymayaddotherinformationifnecessary,forexample,DBmeansdiscardingbark.C.Markingsshouldbelegible,permanentandnottransferable;placedinavisiblelocation,preferablyonatleasttwooppositesidesofthearticlebeingcertified.D.Redororangemarkingsshouldbeavoided.3.TermsofShipmentTheSellershallundertaketoshipthecontractedgoodsfromtheportofloadingtotheportofdestinationonadirectliner,iftransshipmentisnecessary,theB/LshouldbeThroughB/L.ThecontractedgoodsshallnotbecarriedbyavesselflyingtheflagofthecountrieswhichtheBuyercannotaccept.4.AdviceofshipmentandtransshipmentTheSellershall,uponcompletionofloading,advisetheBuyerbyfax/emailofthecontractnumber,nameofcommodity,numberofpackages,grossandnetweights,invoicevalue,nameofvesselandloadingdatewithin2workingdays,Iftransshipmentisnecessary,theSellershouldinformtheBuyerbyfax/emailofthenameandvoyagenumberofsecondfeedervesselassoonastransshipmentiseffected.ThedateoftheBillofladingshallbeconsideredtheactualdateofshipmentofthecommodities5.InsuranceTobeeffectedbytheSellerfor110%ofgoodsvalueagainstAllRisksasperP.I.C.CDated2009,whichcoversoverfromthewarehouseofthemanufacturertothewarehouseoftheFujianMaweiShipbuildingLtd.Ifanyaccidenthappenstoanygoodsbeforetheirarrivalatthedestination,Claimsifanycoveredbytheinsurance,theSellershoulddispatchthegoodsunderthiscontractagainortakeothermeasuresaccordingtotherequirementsoftheBuyertoinsurenottoaffecttheproductionoftheBuyer’sShipyardandtheBuyershouldtransfertherightofclaimandprovidethenecessaryclaimdocumentstotheSeller.6.InspectionA.Forcommoditiestobeimported,afterarrivalofthecommoditiesattheportofdestinationand/orthesite,theBuyershallinspectthecommoditiesinrespecttotheinternalandoutwardquality,specification,quantity/weight.Ifdiscrepanciesarefoundregardingqualityorspecificationorquantity,theBuyershallhavetherighttoclaimagainsttheSellerwithintheguaranteeperiod.IfthereisdifferentopinionsabouttheinspectionbetweentheBuyerandtheSeller,theinspectionresultfromtheadministrationofimportandexportcommodityinspectionofP.Rchinashallbefinalandboundtobothsides.B.Ifthequalityandspecificationofthecommoditiesarenotinconformitywiththecontract,orifthecommoditiesareprovendefectivewithintheguaranteeperiodstipulatedinclause8.foranyreasonincludinglatentdefectsortheuseofunsuitablematerial,theBuyershallhavetherightarrangeforathirdsurveytobecarriedoutandtoclaimagainsttheSelleronthestrengthoftheinspectioncertificate.C.Accordingto“MeasuresforWoodenPackagingMaterialofEntryCargoesQuarantineSupervisionandManagement”issuedbyChinaEntry-ExitInspectionandQuarantineBureau,theEntry-ExitInspectionandQuarantineBureauwillcheckthepackingmaterialsofentrycargoesatrandom,ifthecargoesarepackedwithwoodenmaterials,buttheSellerdeclarethepackagingtonon-woodpackingmaterial,orthewoodenmaterialsarenotstampedwithIPPCmarkings,orthemarkingsarenon-standard,orlivepestsarefound,theBuyershallberequestedtoeliminatethepestsinsidethewoodenpackingmaterialanddestroythemproperlyorreturnthewoodenpackingmaterialtogetherwiththeentrycargoesandacceptthepunishmentfromEntry-ExitInspectionandQuarantineBureau.Inthiscase,theSellershallcompensatetheBuyerforallcostandpenaltyincurredduetoabovesaidreasons.7.ClaimsIncasetheSellerisliableforthediscrepanciesandaclaimislodgedbytheBuyerwithinthetimelimitofinspection,erection,commission,acceptancetestandqualityguaranteeperiodasstipulatedinclause8orelsewhereinthecontract,theSellershallsettletheclaimwiththeagreementoftheBuyerinoneoracombinationofthefollowingways.A.TheSelleragreestotherejectionoftheCommoditiesandrefundstotheBuyerthevalueoftheCommoditiesrejectedinthesamecurrencyasspecifiedintheContractandbearsthelossesandexpensesincurredincludinginterest,accruedbankingcharges,freightandinsurancepremium,inspectioncharges,storage,stevedorechargeandothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedCommodities.B.DevaluetheCommoditiesaccordingtothedegreeofinferiority,extendofdamageandamountoflossessufferedbytheBuyer,asagreedbetweentheBuyerandtheSeller.C.ReplacethedefectiveCommoditieswithnewparts,componentsand/orequipmentwhichconformtothespecifications,qualityandperformanceasspecifiedintheContract,and/orrepairthedefectiveCommoditiesattheSeller’sexpensesandrisksandbearalldirectlyrelatedexpensessustainedbytheBuyer.TheSellershallatthesametimeguaranteethequalityofthereplacedCommoditiesforafurthercorrespondingperiodaccordingtoClause8.8.WarrantyA.TheSellerwarrantsthedesign,materialsandworkmanshipoftheEQUIPMENT,accessoriesandcomponentssuppliedbytheSellerandthattheyarebrandnewandunused,andcomplywithallrespectswiththeTechnicalAgreement(AppendixI)stipulatedintheCONTRACT.Duringtheguaranteeperiod,Ifthefailureorbreakdownoccurduetosellerequipmentdesign,material,workmanship,accessoriesandcomponents.Thesellershouldberesolvedthefailureorbreakdownbyfree.B.Thewarrantyperiodbeginsatthevesseldeliveryandshallbe12monthscountingfromthedateonwhichtheVesselisacceptedbytheship-owner.However,anyreplacementsorrepairswhichareprovidedbytheSellerwithinguaranteeperiodshallbeguaranteedforafurthersix(6)monthsstartingfromthecompletionoftherelevantreplacementsorrepairs.C.Duringtheguaranteeperiod,shouldanyfailureorbreakdownoccur,theBuyershallimmediatelynotifytheSellerthedetailsofthefailureorbreakdown.TheSellershallreplyintimeandshallwithin48hoursafterhisreceiptofthenoticeassignhistechnician(s)tothesitetoeliminatethedefect(s).shouldtheSellerfailtoreplyorsendhistechnicianswithinthreedays,theBuyershallbeatlibertytoeliminatethedefect(s)byhimselfortheownerofthevesselattheSeller’sexpenseandtheSellershallberesponsibleforanyproblems.D.Thesellershouldissuethebankguaranteeforthewarrantyofcontractualequipmentwhenthecommoditydelivery,theguaranteeamountshouldbe10%contractualamount,Theguaranteeperiodwillbe12monthsaccountingfromthedateonwhichtheVesselisacceptedbytheship-owner.Theguaranteeshouldclearlyrecordthatthesellershouldbechargeofthecostwhenwarrantyhappensinwarrantyperiod.Thebankname,address,phoneNo,faxNo.e-mailaddressshouldbeclearlyrecordedintheguarantee.Thebuyeronlysubmitthewarrantyinvoicetothebank,andgetbackthewarrantyfeefrombankwhenwarrantyishappening9.ForceMajeureA.IfeitherofthepartiestotheContractispreventedfromexecutingtheContractbycaseofForceMajeureaswar,serious,typhoonandearthquake,etc.,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthosecauses.AneventofaForceMajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome.B.IncaseofForceMajeure,theSellershallnotbeheldresponsiblefordelayindeliveryornon-deliveryofthegoodsbutshallnotifyimmediatelytheBuyerbyfaxoremailanddelivertotheBuyerbyregisteredmailacertificateissuedbygovernmentauthoritiesofChamberofCommerceasevidencethereof.IftheshipmentisdelayedoveronemonthastheconsequenceofthesaidForceMajeure,theBuyershallhavetherighttocancelthiscontract.TheSeller’sinabilityinobtainingexportlicenseshallnotbeconsideredasForceMajeure.10.DelayeddeliveryandliquidateddamagesA.IftheSelleranticipatesthatwillbeunabletodeliveryanycontractualproduction(includingbutnotlimitedtocommodity，drawingorcertificates)onorbeforedeliverytimeintheContract,theSellershalltakealleffectivemeasurestoshortenthedelayimmediatelyandactively.B.IfdeliveryofthecommodityisdelayedduetotheSeller’sdefault,theSellershallpayasum,asliquidateddamageforsuchdelay,atarateof1%ofcontractpriceforeachday.TheBuyershalldeductsuchliquidateddamagesfromthecontractprice.IntheeventthattheSellerfailstomakedeliverywithin30daysafterthecontractdeliverydatespecifiedintheContract,theBuyershallhavetherighttoterminatetheContract,andallliabilitiesandcostsarisingtherefromshallbebornebytheSeller,suchas-butnotlimitedto-commercialoreconomiclosses,lossofproduction,lossofuse,lossofrevenue,lossofprofit,delayandbusinessinterruptionandothersimilarcausesorlosses,whetherdirectorindirect.C.ThesellershouldsupplythecompletedApprovaldrawingaspertheTechnicalagreementrequireddate,andsupplytheenoughquantityoffinaldrawingandcertificateswithin30daysafterthegoodsarrived,TheQuantityshouldbeinaccordancewiththetechnicalagreement;howeverincaseofanyinconsistencybetweentheimportcontractandtechnicalagreementaboutthedrawingandcertificates,thetechnicalagreementindateshallprevail.iftheSellerfailstodeliverytotheBuyersontime,liquidateddamagesshallbechargedattherateof1﹪ofthetotalvalueofcontractpriceforeachday.TheBuyershallentitletodeductsuchliquidateddamagesfromthecontractprice,andallliabilitiesandcostsarisingtherefromshallbebornebytheSeller,suchas-butnotlimitedto-commercialoreconomiclosses,lossofproduction,lossofuse,lossofrevenue,lossofprofit,delayandbusinessinterruptionandothersimilarcausesorlosses,whetherdirectorindirect.11.TERMINATIONFORBREACHOFCONTRACTTheBuyermay,withoutprejudicetoanyotherremedyforbreachofContract,bywrittennoticeofdefaultsenttotheSeller,terminatethisContractinwholeorinpart.IftheSellerfailstodeliveranyoralltheCommoditieswithinthetimeperiod(s)specifiedintheContract;oranyextensionthereofgrantedbytheBuyer;orfailstoperformanyotherobligationsundertheContract;andineitheroftheabovecircumstances,doesnotcureitsfailurewithinaperiodof15daysafterreceiptofthedefaultnoticefromtheBuyer.12.TERMINATIONFORINSOLVENCYTheBuyermayatanytimeterminatetheContract,bygivingwrittennoticetotheSeller,withoutcompensationtotheSeller,iftheSellerbecomesbankruptorotherwiseinsolvent.AndsuchterminationwillnotprejudiceoraffectanyrightofactionorremedywhichhasaccruedorwillaccruethereaftertotheSeller.13.PATENTRIGHTSTheSellershallindemnifytheBuyeragainstallthethirdpartyclaimsofinfringementofpatent,trademarkorindustrialdesignrightsarisingfromuseoftheCommodities,ServiceoranypartthereofinPRC.Incaseanythirdpartybringsachargeofinfringement,theSellershalltakeupthematterwiththethirdpartyandbearalllegalandfinancialresponsibilities,whichmayarise.14.ArbitrationAlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,thecaseindisputeshallthenbesubmittedforarbitrationtoHongKongInternationalArbitrationCenter,HKIAC,HOKONG,inaccordancewithitsrulesofarbitration.ThedecisionmadebytheCommissionshallbeacceptedasfinalandbindinguponbothparties.TheBritishlawshouldbeapplied.ThefeesforarbitrationshallbebornebythelosingpartyunlessotherwiseawardedbytheCommission.(仲裁法律为香港的适用这一条,根据实际情况选用)AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,thecaseindisputeshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission,BeijingCommission,inaccordancewithitsrulesofarbitration.ThedecisionmadebytheCommissionshallbeacceptedasfinalandbindinguponbothparties.TheChineselawshouldbeapplied.ThefeesforarbitrationshallbebornebythelosingpartyunlessotherwiseawardedbytheCommission.(仲裁法律为中国的适用这一条,根据实际情况选用)15.safetyproductionclausesThesellershouldarrangetheserviceengineertothebuyerinaccordancewiththecontractrequirement.Theengineershoulddresstheworkingclothes,shoes,helmet,safetybeltetcforthesafetyofthework.Theserviceshouldhavetheenoughqualificationtomakesuretheworkcompletedfully.Thesellerhavetheobligationtoinformtheengineerfullfollowingthebuyer’srulesandregulations.Theengineerarriveatthebuyer,safetyeducationisrequired,theengineershouldread‘safetynotice’,safetyeducationvideocarefully,thensignthesafetyeducationrecord.Ifanyaboveeducationisrefusedbytheengineer,thebuyerwon’tallowedtheengineertowork,alllosseswillbeliabilityofbytheseller.Theengineershouldobeythebuyer’ssafetymanagement,Iftheengineerrefusethesafetyeducationorbreakthebuyer’srulesandregulations,thebuyerhavetherighttorequireanewengineertoinsteadof,Ifthissituationbringsomelossesforthebuyer,itwillbeliabilityofbytheseller.Theselleristhefirstpersonresponsiblefortheengineer.Andpurchasetherelevantinsuranceforthem.ItshouldsupplytheenoughsafetyeducationtomakesuretheycouldobeyChinesesafetyproductionlawandbuyer’srulesandregulationsetc.IfsomeaccidentishappenedduetoTheengineerbreakthebuyer’srulesandregulations,wrongoperationetc.Andresultoftheengineerhurt,thesellershallberesponsibleforit.thebuyerwon’tbeliabilityofit.16.Commissioningandseatrials,totaldays:xxdays/xxtrips.【根据业务选用】A.【根据业务选择】Thebuyershallberesponsiblefortheinstallationofthegoods.Theinstallationshallperformedbythebuyerinaccordancewiththeguidelinesandproceduresoftheseller.Thesellershallbeinchargewithresponsiblefortheinstallationofthegoods,andshallprovidethebuyerwithguidelinesorproceduresforitsuse.B.Followinginstallation,thegoodsshallbecheckedandstartedbytheselleruntilthegoodscanbeusednormally.(“commissioning”)Ifnot,theSellershallberesponsibletore-performtheCommissioning.C.Thesellershallsupplysuitablelabor,theworkclothes,shoes,safetyhelmet,toolsandmaterialsduringthecommissioning/seatrialsperiod.Thebuyermayprovidenecessaryassistancetotheseller.D.Thebuyershallnotifythesellerofthecommissioning/seatrialsdateatleastxxdaysprior.Theselle
