(含税)4.资质证书GEOTECHNICALINVESTIGATIONSERVICESAGREEMENT岩土勘察服务协议ProjectName:TheMubarakAlKabeerPortProject(MKP),Kuwait项目名称：科威特大穆巴拉克港项目Contractor:CHINACOMMUNICATIONSCONSTRUCTIONCOMPANYLIMITED承包商：中国交通建设股份有限公司Sub-contractor:分包商：Date:日期：PlaceofSigning:签约地点：CONTRACTINGPARTIES:签约双方：CHINACOMMUNICATIONSCONSTRUCTIONCOMPANYLIMITED(hereinafterreferredtoasPartyA);中国交通建设股份有限公司（以下简称甲方）;(hereinafterreferredtoasPartyB);（以下简称乙方）;PartyAherebyentrustsPartyBtocarryoutgeotechnicalinvestigationworksinTheMubarakAlKabeerPortinKuwait.甲方特此委托乙方在科威特大穆巴拉克港进行岩土工程勘察工作。Inordertoclarifytheparties'rightsandinterests,strengthencollaborationandfullymobilizethepositiveelementsofthevariousaspectstocompletetheinvestigationtaskssuccessfullyonschedule,thetwoparties,throughfriendlyconsultation,herebyenterintotheContract,andshallbeboundbythefollowingterms:为明确各方权益，加强协作，充分调动各方面的积极因素，如期顺利完成调查任务，双方经友好协商，特此订立本合同，并受以下条款的约束：1.Article1:DefinitionofRelevantTerms2.第一条（相关术语的定义）Exceptasotherwiseprovidedhereinthefollowingtextisdefinedas:除非本协议另有规定，以下文本定义为：2-1."Contract"coversallthetermsandconditionsfromArticles1to13hereinandappendixesoftheContracttext.2-2．“合同”包括本协议第1条至第13条的所有条款以及合同文本的附录。2-3．"ContractChange"meansawrittenagreementbetweenPartyAandPartyBonwhichtheContractmaybeamended,changed,addedordeleted.2-4．“合同变更”是指甲乙双方之间达成的书面协议，根据该协议，合同可以进行修改、变更、添加或删除。2-5."InvestigationFee"isfeethatPartyAshallpaytoPartyBforitsimplementingtheworkasstipulatedintheContract.2-6.“勘察费”是指甲方为执行合同规定的工作而应向乙方支付的费用。3.Article2:ScopeofWorkandAdoptionofSpecifications,RegulationsandStandards4.第二条（工作范围及采用的规范、法规和标准）Thepurposeoftheinvestigationofthisprojectistoidentifythegeologicalconditionssuchassoillayerproperties,distributionpatterns,geologicalstructures,etc.inthisarea,soastoprovidethenecessaryengineeringgeologicalbasisforthedesignofthisprojectandengineeringdredging.查明本区域的土层性质、分布规律、地质构造等地质条件，为本工程设计及工程疏浚提供必要的工程地质依据。4-1.ScopeofWork4-1.工作范围(1)SiteBoreholedrilling(1)现场钻孔Numberoftheboreholes:2inMubarakPortLandarea，2CPTUinMubarakPortLandareaand14inMubarakPortmarinearea.钻孔数量：穆巴拉克港陆域2个，CPTU2个；穆巴拉克港海域14个。Depthofborehole:Thefinaldrillingelevationoflandareais-35m（CD）.Thefinal12boreholesdrillingelevationofmarineareais-15m（CD）.Thefinal2controlboreholesdrillingelevationofmarineareais-50m（CD）.钻孔深度：陆地钻孔终孔高程为-35.0米（海图基准面）。12个海域钻孔终孔高程为-15.0米（海图基准面）。2个海域控制钻孔终孔高程为-50.0米（海图基准面）。钻孔位置和深度甲方确定。Theundisturbedboreholesarerequiredtopenetrate5mintotheU2sandlayer;TheCPTUarerequiredtotesttothebottomofthesiltyclay.Fortheundisturbedboreholes,itisrequiredtotaketheundisturbedsoilsampleswhenmeetingthecohesivesoil,andtakeonesoilsampleper2.0mandonevanetestper2.0m.Inordertotakeenoughsamplestobetested,thesamplingintervalcanbeappropriatelyencrypted.Whenmeetingthesandlayerorhighlyweatheredrocklayer,etc.,itisrequiredtocarryoutoneSPTper1.5m,andretainthesoilsampleswhichistakenintheSPTcontainer.原状钻孔深度要求钻入第二大层砂层不小于5m；CPTU孔探测深度至粘土层层底。原状孔遇粘土要求采取原状土样，取样间隔为每2.0m一件，每2.0m进行一次十字板剪切试验一次，为保证各指标应有足够的土样件数，取样间隔可适当加密。遇砂性土、风化岩等，要求每1.5m进行标贯试验一次，并留取标贯器内扰动土样。Forsandysoilwhereundisturbedsoilsamplescannotbeobtainedonsite,astandardpenetrationtestshouldbeconductedtoprovidethepenetrationresistanceindex（）.对于现场无法获取原状土样的砂性土，应进行现场标准贯入试验，提供贯入度指标（）。注：临时工作范围可根据甲方要求缩小或增加。(2)LandAreaLaboratorysoiltest(2)陆域试验1）CLAYEYSOILTESTREQUIREMENTS粘性土的试验要求：Itisrequiredtotestthenaturalmoisturecontent,naturaldensity,voidratio,compressionindexCc,recompressionindexCs,secondaryconsolidationindexCα,pre-consolidationpressurePc,OCRvalue,verticalandradialconsolidationcoefficient;determinationofclaysoilorganicmattercontent.要求试验测定粘性土的天然含水率、天然重度、孔隙比、压缩指数Cc、回弹再压缩指数Cs、次固结系数Cα、先期固结压力Pc、OCR值、竖向和径向固结系数等、测定软土中有机质含量。2）SANDSOILTESTREQUIREMENTS砂性土的试验要求：Itisrequiredtotesttheparticleanalysis.试验测定砂性土的颗粒级配。(3)MarineAreaLaboratorysoiltest(3)海域试验Clayandsiltyclay(U1A,U1Bsoillayers)粘土和粉质粘土（U1A、U1B土层）Throughregulartests,triaxialsheartests,fieldvaneshearstrengthtests,compressiontests,consolidationtests,etc.,andanalyzingthetestresults,providerecommendedvaluesforthephysicalandmechanicalindicatorsofeachsoillayerusedinstructuraldesign:naturalmoisturecontent,naturalbulkdensity,liquidlimit,plasticlimit,plasticityindex,liquidityindex;triaxialunconsolidatedundrainedshearparameters(UU),triaxialconsolidatedundrainedshearparameters(CU),effectiveshearstrength（、）,vaneshearstrength(Cu);compressioncoefficient,compressionmodulus,compressionindex;consolidationcoefficients(vertical,horizontal).通过常规试验、三轴剪切试验、十字板现场试验、压缩试验、固结试验等，并分析试验结果，提供结构设计所采用的如下每一土层的物理力学指标建议值：天然含水率、天然重度、液限、塑限、液限指数、塑限指数；三轴不固结不排水剪切指标（UU）、三轴固结不排水剪切指标(CU)、有效剪切强度（、）、十字板剪切强度指标(Cu)；压缩系数、压缩模量、压缩指数；固结系数（垂直、水平）。Providethestandardvaluesoftheultimatebearingcapacityforeachsoillayer,thestandardvaluesofthesideultimatelateralresistanceforpile-embeddedsteelpipepilesineachsoillayer,andthestandardvaluesoftheultimateendresistanceatthepiletip.提供各土层的极限承载力标准值、各土层打入式钢管桩的桩侧极限侧摩力标准值和桩端土极限桩端阻力标准值。3.1.4Evaluatethetechnicalfeasibilityofusingpilefoundationsforweaksoilbases,andinitiallyclarifytheburialdepthandthicknessoftheload-bearinglayerofthepilefoundation,aswellaswhetherthereareanyweaksoillayersbelow.对软弱地基采用桩基的技术可能性作出评价，初步查明桩基持力层埋深、层厚、其下是否还存在软弱土层等。3.1.5Pleasecompareandanalyzetheresultsdataprovidedinthissupplementaryinvestigationwiththepreviousdata,andgivereasonablerecommendations.请将本次补勘提供的成果数据和前期数据做对比分析，给出合理的建议值。未尽事宜按标准要求执行。4-2.InvestigationBasis4-2．调查依据Theworkscomplywiththerelevantstandards:工程符合相关标准：BS5930:1999,2010CodeofPracticeforSiteInvestigations;BS1377:1999MethodsofTestforSoilforCivilEngineeringPurposes;BSEN1997-1EuroCode7GeotechnicalDesign-Part1GeneralRules,BritishStandards,London2009;BS1377Part2,MethodsoftestforSoilsforCivilEngineeringPurpose-Part2ClassificationTests,BritishStandards,London,1990;BS1377Part7,MethodsoftestforSoilsforCivilEngineeringPurpose-Part7ShearStrengthTest(TotalStress),BritishStandards,London,1990;BOREHOLEINVESTIGATIONTECHNICALREQUIREMENT钻孔调查技术要求PartyA’sEmployerRequirement;甲方的雇主要求;Thegeo-technicalinvestigationworkwouldbecarriedoutinaccordancewiththelatestrevisionoftherelevantBritishStandards,ASTMStandardsorotherequivalentinternationalStandardstotheapprovaloftheEngineerpriortocommencementofthesiteworks.岩土工程勘察工作将按照相关英国标准、ASTM标准或其他同等国际标准的最新修订进行，并在工地工程开始前获得工程师的批准。5.Article3:SubmissionofTechnicalResults6.第三条：提交技术成果Itrequiressubmittingfactualreportandinterpretativereportofgeotechnicalinvestigationincludingrelateddrawingfiles.需要提交地质调查事实报告和分析报告，包括相关的绘图文件。ThereportshouldcomplywiththerequirementofpartyA’stechnicalspecification,drillinginlandareasmustbecompletedandatestreportandgeotechnicalinvestigationreportmustbesubmittedwithin1monthafterenteringthesite,anddrillinginmarineareasmustbecompletedandatestreportandgeotechnicalinvestigationreportmustbesubmittedwithin3monthsafterenteringthesite.报告应符合甲方技术规范的要求，陆域钻孔需在进场后2个月内完成并提交试验报告及岩土工程勘察报告，水域钻孔需在进场后2个月内完成并提交试验报告及岩土工程勘察报告。7.Article4:WorkSchedule8.第四条：工作时间安排4-1.AfterreceivingthenoticefrompartyA,PartyBshallperforminitiationofequipmentmobilization.4-1.乙方接到甲方的通知，应进行设备调动启动。Consideringthemachineryleasing,siteconditions,weather,andotherfactors,thetotaldurationforfielddrilling,laboratorytesting,anddataprocessingis90workingdays.Duringtheperiod,incompleteinterimtechnicalresultscanbeprovidedinatimelymanneraccordingtotheEmployer’srequest.考虑到设备租赁、现场条件、天气及其他因素，现场钻探、实验室测试以及数据处理总共需要60个工作日。在这期间，根据雇主的要求，可以及时提供不完整的阶段性技术成果。4-2.Duringthefieldwork,incaseofencounteringsevereweatherandcertainfactorsnotcausedbyPartyB,therelatedprojectperiodshouldbenegotiatedandextended.4-2.在外业调查期间，如遇恶劣天气及某些非乙方原因造成的因素，应协商延长相关项目工期。9.Article5:InvestigationFeeandPaymentMethods10.第五条：调查费用及支付方式5-1.Regardingtheabove-mentionedscopeofworks,thetotalinvestigationfeeofthisContractisincludinglocalVAT.(inwords:).Seethetablebelowfordetails.5-1.关于上述工作范围，本合同地勘总费用暂定为元，包括当地增值税。（用文字表示：元整）。详细价格构成，请参见下表。本项目在科威特发生的所有税费由甲方负责。PricedBillofQuantityforGeotechnicalInvestigation地勘工作量清单及单价Item percent(10%)ofthetotalconsideration,thePartyAreservestherighttoterminatetheAgreementimmediatelyandthePartyBshallpaythepenaltytothePartyAfordelayaswellasdamages.7-2.如果罚金达到合同总金额的10%，甲方有权立即终止本协议，乙方需支付延迟罚金及赔偿金。7-3.ThePartiesagreethatPartyAcandeductthepenaltiesandcompensationfrombillsowedbyPartyAandpayabletoPartyB.7-3.双方同意，甲方可以从欠乙方的款项中扣除罚金和赔偿金。15.Article8:ForceMajeure16.第八条：不可抗力8-1.IfeitherPartyAorPartyBisunabletoperformthiscontractualobligationduetoforcemajeure,thepaymentofthetimeandexpensesfortheperformanceofthiscontractmaybepostponedorthecontractterminated.8-1.如果甲方或乙方因不可抗力而无法履行本合同义务，则为履行本合同所需的时间和费用的支付可能会推迟或终止。8-2.Whenitisnecessarytoamendthetermsofthiscontractduetoforcemajeure,thepartyproposingtheamendmentshallsubmittheamendmenttotheotherpartyinwriting.8-2.当因不可抗力需要修改本合同的条款时，提议修改的一方应以书面形式将修改后提交给另一方。8-3.Forcemajeurereferstoeventsbeyondthescopeofhumancontrol,unforeseenandthatcannotbeavoidedbytheinjuredparty.Itincludesbutisnotlimitedtowar,earthquake,flood,typhoon,epidemicpreventionpolicyoftheKuwaitandsoon.8-3.不可抗力是指超出人为控制范围、不可预见且受害方无法避免的事件。它包括但不限于战争、地震、洪水、台风、科威特的防疫政策等。17.Article9:DisputeandArbitration18.第九条：争议与仲裁9-1.ThePartiesagreethatanydisputearisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validityorterminationshallbesettledamicablythroughfriendlynegotiation.9-1.双方同意，因本协议引起的或与本协议相关的任何争议，包括有关其存在、有效性或终止的任何问题，应通过友好协商友好解决。9-2.Intheeventthatnosettlementcanbereached,throughnegotiationwithin14(fourteen)days,anyofthePartiesmayreferthedispute,differenceorclaimtomediation.ThepartiesshallagreeontheappointmentoftheMediator.9-2.如果在协商后的14天内无法达成和解，任何一方均可将争议、分歧或索赔提交调解。双方应就调解员的任命达成一致。9-3.EachPartyshallbearitsowncostsandwouldbeliabletocontributethesameamountinrespectoffeestobepaidtotheMediator.9-3.每一方应承担自己的费用，并对支付给调解员的费用承担同等责任。9-4.Intheeventthatanysuchdispute,controversyorclaimhasnotbeensettledpursuanttomediationwithinsixty(60)daysofthecommencementofthemediationprocess,eitherPartymaysubmitthedisputetotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationinaccordancewiththeCIETACArbitrationRulesineffectatthetimeofthearbitrationapplication.9-4.如果在调解程序开始后的60天内仍未通过调解解决任何此类争议、争议或索赔，那么任何一方均有权将争议提交至中国国际经济贸易仲裁委员会（CIETAC），按照申请仲裁时该会现行有效的仲裁规则进行仲裁。9-5.Thenumberofarbitratorsshallbetwo,tobeappointedbyeachParty.9-5.仲裁员人数为三名，由各方各任命一名。9-6.TheplaceofarbitrationshallbeBeijingandthelanguagetobeusedinthearbitralproceedingsshallbeChinese.9-6.仲裁地点为北京，仲裁程序使用的语言为中文。9-7.ThecostofArbitrationshallbeequallybornebytheParties.Eachpartyshallbearitsowncostsandexpensesoffees(includingattorneys’fees)incurredinconnectionwiththisclausebutthePartiesshalleachpayhalf(1/2)ofanyadvancesoncostsrequiredorasotherwiserequestedbythearbitrator.ThearbitralawardshallbefinalandbindingontheParties.9-7.仲裁费用由双方平均承担。每一方应承担与本条款相关的费用（包括律师费）以及因仲裁而产生的任何费用，但双方应各自支付仲裁员要求的任何预付款项的一半。仲裁裁决对双方具有最终约束力。19.Article10:ApplicableLaws20.第十条：适用法律10-1.TheContractshallapplytothelegaldocumentsofChina.10-1.本合同适用中国的法律文件。21.Article11:LiabilityForBreachofContract22.第十一条：违约责任11-1.WherethePartyBfailstoperformitsobligationsunderthisAgreementoritsperformancefailstosatisfythetermsoftheAgreement,thePartyBshallbeliableforbreachofcontractandthePartyAreservestherighttotakeallnecessarystepstoremedythisbreachincludingbutnotlimitedtoclaimingfromthePartyBcompensationforlossesincurredasaresultofthisbreach.11-1.如果乙方未能履行其在本协议下的义务，或其履行未能满足协议条款，乙方应对违约负责，甲方有权采取一切必要措施纠正该违约行为，包括但不限于向乙方索赔因该违约行为造成的损失。11-2.IfthePartyBdefaultsinperformingitsobligationsunderthisAgreement,thePartyBshallbeliabletopayatleast10%ofthetotalContractpriceasliquidateddamagestothePartyA.11-2.如果乙方未能履行其在本协议下的义务，乙方应向客户支付合同总金额至少10%的违约金。11-3.ThePartyAreservestherighttoterminatethisAgreementintheeventofbreachbythePartyB,ofanyoftheobligationsstipulatedbythisagreement,ifthePartyBfailstorectifysaidbreachwithinone(1)weekofthePartyAnotifyingthePartyBofsaidbreach.11-3.如果乙方违反本协议规定的任何义务，甲方有权在乙方未能在甲方通知违约后的一周内纠正该违约行为的情况下，终止本协议。23.Article12:Miscellaneous24.第十二条：其他项12-1.TheContractshallbewritteninChineseandEnglishwiththesamelegaleffect.IntheeventofanyinconsistencyofcontentorunderstandingbetweentheChineseandEnglishversions,theChineseversionofthisAgreementshallprevail.Thiscontractisinduplicate,originalandduplicated.BothPartyAandPartyBholdoneoriginalandonecopy.12-1.本合同以中英文书写，具有同等法律效力。若两个版本内容上有不一致或理解偏差，以中文版本为准。本合同一式两份，原件一式两份。甲方和乙方各持有原件和复印件各一份。12-2.Mattersnotcoveredinthiscontractarenegotiatedandsupplementedbybothparties.Thetermsofthesupplementaryagreementareequivalenttothiscontractafterbeingsignedbybothparties.12-2.本合同未尽事宜由双方协商补充。补充协议的条款经双方签订后等同于本合同。12-3.PartyAshallappointLiangXianhui(Tel:+96595743501)asthecontactpersonofPartyA,andPartyBshallappointDingHuaisheng(Tel:+96597746567)asthecontactpersonofPartyB,thecontactpersonisresponsibleforthecoordinationandcooperationbetweenthetwoparties.Eitherpartychangesthecontactperso,itshallpromptlynotifytheotherpartyinwriting.Failuretonotifyintimeandaffecttheperformanceofthiscontractorcauselosses,shallbearthecorrespondingresponsibilities.12-3.甲方指定（电话：）为甲方联系人，乙方指定（电话：）为乙方项目负责人，负责双方的协调配 henumberisBH-1toBH-14.钻孔14个，编号为BH-1～BH-14。Alldrillholesareoriginalholes.所有钻孔均为原状孔。Thelayoutfortheboreholesisshownintheattacheddrawing.钻孔的位置如附图所示。3.2.2Boreholedepth钻孔深度BH-7andBH-10arerequiredtobedrilledto-50m.Theremainingboreholesarerequiredtopenetrate1mintotheU2siltysand.BH-7,BH10要求钻至-50m。其余钻孔要求进入U2Siltysand1m。3.3FIGURESANDTABLESATTACHED附图表Includingboreholelocationplan,tableofboreholedata,boreholelog,engineeringgeologicalprofile,statisticsofcharacteristicsoilparameters,tableofgeotechnicaltestresultsandvaneshearstrengthcurve,tablesofcompressionandshearingtestandwavevelocitytesttablesofboreholes.包括钻孔平面位置图、钻孔数据一览表、钻孔柱状图、工程地质剖面图、单元土体特征指标统计表、土壤试验成果表及十字板强度曲线、压缩及剪切试验数据表。StandardTermsofComplianceProtection合规保护标准条款ThebothPartiesagreethatthetermsandconditionsundertheStandardTermsofComplianceProtectionconstituteanimportantpartofthecontractconcludedbyandbetweentheParties,andbothPartiesshouldabidebyit.双方同意，合规保护标准条款中的条款和条件构成双方签订合同的重要组成部分，双方应遵守。I.DefinitionofPublicOfficialI.公职人员的定义“PublicOfficial”specifiedintheStandardTermsofComplianceProtectionisbroadlydefinedandincludesthefollowings:合规保护标准条款中规定的“公职人员”定义广泛，包括以下人员：oOfficials,employees,representativesofgovernments,andanyotherpersonactingonbehalfofgovernment(orotherwiseauthorizedtoactunderofficialright);o政府官员、雇员、代表以及任何代表政府行事（或以其他方式经授权以官方权力行事）的人员；oOfficials,employees,orrepresentativesofpublicinternationalorganizations;o国际公共组织的官员、雇员或代表；oOfficials,employees,orrepresentativesofpoliticalorganizationsormembersofroyalfamilies,whoexercisepublicrights;o行使公共权力的政治组织官员、雇员或代表，或王室成员；oOfficialsandemployeesofpublicenterprises,whichareenterprisesoverwhichagovernmentorgovernmentsexercise,directlyorindirectly,acontrollingordominantinfluence.o公共企业的官员和雇员，公共企业指政府直接或间接行使控制或主导影响力的企业。II.CompliancewithAnti-CorruptionLawsII.遵守反腐败法律[PartyB]represents,warrants,andcovenantsthat,inrelationtotheactivitiesortransactionscontemplatedbythisAgreement[PartyB]and[PartyB’s]affiliates,subsidiaries,directors,officers,employees,agents,consultants,contractors,designees,ultimatebeneficialowners,andshareholders,andallotherpersonsorpartiesactingon[PartyB’s]behalf,directlyorindirectly,havenotviolatedandwillnotviolate,orcause[PartyA]toviolate,theCriminalLawofthePeople’sRepublicofChina,theUnitedNationsConventionAgainstCorruption,theOECDConventiononCombatingBriberyofForeignPublicOfficialsinInternationalBusinessTransactions(asimplementedbyitssignatories),oranyotherapplicableanti-corruption,anti-fraud,anti-collusionorfaircompetitionlaw(collectively,the“Anti-CorruptionLaws).”Specifically,[PartyB]represents,warrants,andcovenantsthatneither[PartyB]noranyof[PartyB’s]affiliates,subsidiaries,officers,directors,employees,agents,consultants,contractors,designees,ultimatebeneficialownersandshareholders,noranyotherpersonorpartyactingon[PartyB’s]behalfhavemadeandwillnotmakeduringthecooperationperiodthefollowings:乙方声明、保证并承诺，就本协议预期的活动或交易而言，乙方及其关联公司、子公司、董事、高级管理人员、雇员、代理人、顾问、承包商、指定人员、最终受益所有人和股东，以及所有其他代表乙方直接或间接行事的人员或方，未曾违反且不会违反，也不会导致甲方违反《中华人民共和国刑法》、《联合国反腐败公约》、《经合组织反对在国际商业交易中贿赂外国公职人员公约》（及其签署国实施的相关规定），或任何其他适用的反腐败、反欺诈、反串通或公平竞争法律（统称“反腐败法律”）。具体而言，乙方声明、保证并承诺，在合作期间，乙方及其任何关联公司、子公司、高级管理人员、董事、雇员、代理人、顾问、承包商、指定人员、最终受益所有人和股东，以及任何其他代表乙方行事的人员或方，均未进行且不会进行以下行为：A.ToanyPublicOfficialortoanyotherpersonorentityifsuchpaymentsortransferswouldhavethepurposeoreffectof:A.向任何公职人员或任何其他人员或实体（如果此类付款或转账具有以下目的或效果）：A.1.ImproperlyinfluencinganyactordecisionofaPublicOfficial;i.不当影响公职人员的任何行为或决定;A.2.InducinganyPublicOfficialtodooromittodoanactinviolationofthatPublicOfficial’slawfulduty;ii.诱使公职人员作为或不作为，违反其法定职责;A.3.InducinganyPublicOfficialtousehisorherinfluencedirectly,orwithadomesticorforeigngovernmentorinstrumentalitythereof,toaffectorinfluenceanyactordecisionofsuchgovernmentorinstrumentality;iii.诱使公职人员直接利用其影响力，或通过国内外政府或其机构，影响该政府或机构的任何行为或决定;A.4.Improperlyassisting[PartyA]or[PartyBortherelevantSubsidiary]toobtainorretainbusinessorotherwisetosecureanyimproperadvantage;iv.不当协助甲方或乙方（或相关子公司）获得或保留业务，或以其他方式获取任何不当利益；B.Toanyperson,whetherornotaPublicOfficial:B.向任何人员（无论是否为公职人员）：B.1.Withtheintentiontobringaboutorrewardtheimproperperformanceofadutyorobligationtowhichthepersonissubject;i.意图促成或奖励该人员不当履行其职责或义务；B.2.Withtheknowledgeorbeliefthattheacceptanceofthepaymentorthingofvalueinitselfconstitutestheimproperperformanceoftheperson’sdutyorobligation.ii.在知晓或相信接受该付款或有价值物品本身即构成该人员不当履行其职责或义务的情况下进行付款。III.ContinuingObligationsIII.持续义务[PartyB]representsandwarrantsthat[PartyB]and[PartyB’S][affiliates,subsidiaries,directors,officers,employees,agents,consultants,contractors,designees,ultimatebeneficialownersandshareholders],andallotherpersonsorpartiesactingon[PartyB’s]behalfareandwillremainincompliancewiththeAnti-CorruptionLawsforthedurationofthisAgreement.乙方声明并保证，在本协议有效期内，乙方及其关联公司、子公司、董事、高级管理人员、雇员、代理人、顾问、承包商、指定人员、最终受益所有人和股东，以及所有其他代表乙方行事的人员，现在和将来均遵守反腐败法律。IV.PublicOfficialInvolvementIV.公职人员关联情况Otherthanthosedisclosedto[PartyA],[PartyB]doesnothaveanycurrentofficers,directors,ultimatebeneficialowners,shareholders(excludingforpurposesofthissectionshareholdersofapubliclytradedcompany)oremployeeswhoare,orwho
